The Senior Counsel will serve as a primary legal advisor for commercial agreements, managing the full lifecycle of contracts including drafting, negotiation, and risk assessment. They will partner with cross-functional teams such as Sales, Security, and Finance to close enterprise deals while ensuring compliance with regulatory and data protection standards.

Overview

Join Seismic as Senior Counsel, Commercial Legal and serve as a trusted legal advisor to our Sales, Deal and Revenue Operations, Procurement, Security, and Partner teams, balancing commercial pragmatism with risk management. This role will focus on driving revenue and managing risk by owning the drafting, negotiation, and risk assessment of the company’s commercial agreements across their lifecycle.  You will work directly with leading enterprise customers, including sophisticated financial services institutions.  This position is for a remote candidate with periodic but infrequent travel required for team and company events. If you are an experienced commercial lawyer who wants to grow into a leadership role of a mature but still fast-growing and ambitious SaaS business, we are eager to meet you.

Who you are:

Required Qualifications & Experience

  • JD, with admission to at least one bar.
  • 8+ years of substantive legal experience, with at least 3 years of experience in B2B SaaS commercial contracting.
  • Experience in effectively negotiating outbound SaaS agreements with large enterprise customers, specifically including financial services.
  • Strong project management skills and a proactive approach, with a desire to be a strategic partner and the ability to navigate complex cross-functional initiatives.
  • A deep understanding of the SaaS industry, its unique legal challenges, common negotiation points, and relevant regulatory landscape, including privacy and data protection, financial services vendor and outsourcing requirements, and AI regulation.
  • Strong commercial judgment and ability to independently assess and communicate risk to non-lawyer business stakeholders.
  • Experience supporting legal team scaling initiatives.
  • The ability to manage multiple priorities and competing deadlines.
  • Curiosity and a willingness to tackle new challenges in an open and collaborative manner, including enthusiasm for using AI and legal technology tools to work more effectively.
  • Excellent communication and interpersonal skills.
  • A mindset that being responsive, accountable, and a team contributor are what make you great at your job.

Preferred Qualifications

  • Experience mentoring and leading legal professionals and a desire to supervise them in the future.
  • Privacy certification (e.g., CIPP/US) or comparable privacy experience.
  • Experience using contract lifecycle management (CLM) tools.

Key Competencies

  • Pragmatic, business-forward approach to risk — able to distinguish material risk from immaterial friction and communicate it clearly to non-lawyer business stakeholders.
  • A results focused attitude and team first working style.
  • High degree of autonomy and ownership; comfortable operating with limited day-to-day supervision.
  • Strong stakeholder management and cross-functional collaboration skills.
  • Process-minded: interested in improving templates, playbooks, and workflow efficiency, not just individual deals.
  • Resilient and responsive under deadline pressure typical of quarter-end/enterprise sales cycles.

What you'll be doing:

  • Draft, review, and negotiate a high volume of commercial agreements, including SaaS subscription agreements, master services agreements (MSAs), order forms, and data processing agreements (DPAs) with North America-based enterprise and financial services prospects and customers, as well as inbound vendor and procurement contracts.
  • Negotiate customer-initiated security exhibits, AI terms, and IT security policies against the company's standard security posture, certifications (e.g., ISO 27001, SOC 2 Type II), and Trust Center positions.
  • Partner closely with Sales, Deal Ops, Finance and Security to structure and close enterprise deals, including pricing and payment terms, liability caps, indemnities, service levels, and termination terms, emphasizing high-quality contracts with market terms and compliance with privacy and data protection requirements while delivering practical and business-minded advice.
  • Deliver targeted legal training to Sales and other go-to-market (GTM) teams on best practices for deal management, negotiation strategies and processes.
  • Manage subcontractor and vendor flow-down obligations, ensuring consistency between customer commitments and the company's vendor risk management program.
  • Work with the Legal team to maintain and continuously improve contract templates, playbooks, fallback positions, and internal negotiation guidance, tracking contracting trends, common redline patterns, and recurring points of friction to increase deal velocity and consistency.
  • Support GTM, Customer Success, Deal Ops, InfoSec, Finance, and Product) and other cross-functional stakeholders on contract interpretation, compliance questions, and dispute avoidance/resolution.
  • There will be opportunities to develop your leadership skills by acting as a player coach, mentoring talent, and identifying areas for process improvement and driving them to completion (as a group leader or individually).
