Globalli is looking for a Regulatory Affairs & Entity Corporate Governance Manager to oversee the governance, regulatory compliance, and ongoing administration of our international legal entities.

This role will manage a global portfolio of entities and serve as a central point of coordination across Finance, HR, Payroll, Legal, Compliance, and external advisors. You will be responsible for keeping our entities in good standing, ensuring required registrations and filings are completed on time, maintaining accurate corporate records, and managing relationships with local legal, accounting, corporate services, and other regulatory partners.

This is an operational role that requires strong organization, follow-through, and the ability to manage multiple countries and competing deadlines. As Globalli continues to expand internationally, this person will also help build scalable processes and systems for managing our growing entity footprint.

What You Will Do

Entity Governance & Compliance

  • Manage the ongoing corporate governance and regulatory requirements for Globalli's international entities.
  • Maintain a clear calendar of corporate, regulatory, tax, employment, and other entity-level obligations and ensure deadlines are met.
  • Coordinate entity registrations, renewals, licenses, permits, statutory filings, and other required submissions with local partners and advisors.
  • Maintain accurate corporate records, including registrations, certificates, corporate documents, director and officer information, and other entity documentation.
  • Monitor changes in local regulatory requirements that may impact Globalli's entities and coordinate appropriate action with Legal, Finance, HR, Payroll, and external advisors.
  • Identify compliance gaps or upcoming requirements and ensure they are escalated and addressed appropriately.

Vendor & Partner Management

  • Own relationships with local corporate service providers, legal counsel, accountants, payroll partners, and other external vendors supporting Globalli's entities.
  • Ensure vendors understand Globalli's requirements and deliver services accurately and on schedule.
  • Review and benchmark vendor services and fees and support negotiations and renewals.
  • Establish clear ownership, expectations, and escalation processes with external partners.
  • Coordinate the transition of entity-related work between vendors when needed.

Entity Lifecycle & International Expansion

  • Support the end-to-end process for establishing new international entities, including coordinating with Legal, Finance, Tax, HR, Payroll, and local advisors.
  • Manage ongoing requirements associated with changes to existing entities, including changes in ownership, directors, registered addresses, business activities, or other corporate information.
  • Support entity closures, reorganizations, or other changes to the corporate structure as needed.
  • Help evaluate and establish scalable processes as Globalli enters new countries and expands its international operations.

Cross-Functional Operations

  • Serve as the internal subject matter expert and central point of coordination for entity governance and regulatory requirements.
  • Partner closely with Finance, HR, Payroll, Legal, Compliance, and Operations to ensure entity obligations are understood and completed.
  • Educate internal stakeholders on relevant entity requirements, timelines, and responsibilities.
  • Maintain a centralized system of record and clear documentation for entity information and compliance activities.
  • Develop standardized processes, documentation, and reporting to improve visibility and reduce compliance risk.

Process Improvement & Risk Management

  • Build and maintain scalable processes for managing a growing international entity portfolio.
  • Identify opportunities to automate, standardize, and improve entity governance workflows.
  • Establish reporting and dashboards to provide visibility into entity status, upcoming obligations, outstanding actions, and compliance risks.
  • Proactively identify potential issues and coordinate resolution before they become compliance or operational problems.

What You Will Bring

  • 3 to 5+ years of experience in international entity management, corporate governance, regulatory affairs, legal operations, compliance, or a related field.
  • Experience managing entities across multiple countries and jurisdictions.
  • Experience working with external legal, accounting, corporate services, or regulatory partners.
  • Strong understanding of corporate governance and entity compliance processes.
  • Legal, paralegal, corporate services, compliance, or similar professional background preferred.
  • Strong project management and organizational skills with the ability to manage multiple countries, vendors, and deadlines simultaneously.
  • Strong attention to detail and ability to maintain accurate records and documentation.
  • Ability to interpret regulatory requirements and coordinate appropriate action with internal and external stakeholders.
  • Strong vendor management and negotiation skills, including the ability to evaluate service levels and fees.
  • Excellent written and verbal communication skills.
  • Comfortable working independently in a fast-moving, international environment where processes are continually evolving.
  • Strong judgment and ability to escalate issues appropriately rather than attempting to provide legal advice outside your area of expertise.

What Success Looks Like

  • Globalli's international entities remain in good standing with required registrations, filings, and governance obligations completed on time.
  • Entity information and corporate records are accurate, centralized, and easy to access.
  • Internal teams have clear visibility into upcoming entity and regulatory requirements.
  • External vendors are well managed, accountable, and delivering against agreed expectations.
  • Entity-related risks and issues are identified and addressed proactively.
  • Processes become more standardized and scalable as Globalli's international footprint grows.
