Role purpose

This role will support a small, globally distributed legal team across a broad range of corporate and commercial matters.

Key Responsibilities of the role

  • Reviewing and negotiating client and vendor facing documents such as NDAs, vendor agreements, MSAs, SOWs and other commercial contracts.
  • Preparing corporate documents including but not limited to board packs for board meetings, board resolutions, shareholders approvals and assisting with other Company Secretarial tasks. 
  • Responding to due diligence questionnaires from investors and completing KYC requests.
  • Taking responsibility for filing and archiving corporate documents and contracts.
  • Supporting the management of the cap table and the equity platform software.
  • Assisting with the management of non-UK subsidiaries and various filings.
  • Review of marketing agreements, terms of corporate memberships and industry groups. 
  • Managing document execution and coordinating electronic signatures.
  • Supporting with the expansion and maintenance of the IP/trademark portfolio and enforcement of IP rights. 
  • Assisting with regulatory compliance matters and due diligence. 
  • Assisting with contract management and storage of records. 
  • Assisting the legal team with administrative duties. 
  • Task management by overseeing the general legal query inbox. 

Your experience, skills and knowledge

  • Prior professional Paralegal experience – either in-house or at a law firm.
  • Legal qualification.
  • Ability to collaborate closely with members of the Legal team to provide practical and pragmatic feedback for business stakeholders in a timely manner.
  • Keeping up-to-speed with developments in the law and regulation relevant to the role and sharing knowhow as appropriate within the Legal team.
  • Exceptional attention to detail alongside effective written and oral communication.
  • Strong organisational skills and ability to multi-task and optimally assess priorities in a fast-paced environment.
  • Experience and knowledge of the Microsoft Office Suite, document and contract management systems (e.g. Ironclad), cap table management systems (e.g. Carta/Ledgy), entity management platforms (e.g. Diligent) and DocuSign
  • Willingness to dive into ambiguous issues and situations, requiring you to be a creative problem solver.

Desirable

  • Knowledge of GDPR, the Data Protection Act and the e-Privacy Directive.
