POSITION OVERVIEW:

 

Quanta Government Solutions (QGS) is seeking a Group General Counsel to lead the legal function supporting QGS and the broader Quanta Government Group (QGG). Reporting to the President, this role serves as the business’s lead legal advisor and works closely with Quanta Services corporate legal. As part of the leadership team, the Group General Counsel helps shape pursuit, teaming, subcontracting, and delivery decisions while protecting the company and meeting federal obligations.

QGS performs infrastructure and mission support work at some of the nation’s most sensitive federal sites, including Department of Energy and National Nuclear Security Administration installations. The legal function reaches across the business: prime contracts and task orders governed by the FAR and DFARS, teaming agreements and joint ventures, labor standards and employment matters, ethics and mandatory disclosure obligations, government audits and investigations, export controls and controlled information, claims and disputes, and the commercial agreements that keep projects moving.

The Group General Counsel leads a team of two, including the Contracts function, and works closely with Quanta Services corporate legal and QGG shared services, providing real support for the role’s breadth.

This is not a back-office review function. The Group General Counsel sits inside pursuit decisions, teaming structures, and delivery problems as they happen, working shoulder to shoulder with Operations, Finance, and project teams. We want a lawyer who starts with how to get to yes safely, not a list of reasons why not.

We are looking for a lawyer with strong federal government contracts experience who is ready for broader leadership scope earlier than a larger organization may offer. Candidates may come from an agency Office of General Counsel, a government contracts practice, federal government service, or an in-house role with a federal contractor.

What You'll Do

Legal Leadership & Executive Counsel

  • Serve as the lead legal advisor for QGS and the principal legal point of contact for the President, the leadership team, and Quanta Services corporate legal.
  • Help shape the company’s legal priorities and develop practical policies, templates, playbooks, and delegations of authority that allow the business to move quickly and with confidence.
  • Provide practical and business focused guidance on growth plans, new site standups, market entry, and pursuit decisions, including clear recommendations where legal or compliance risk is material.
  • Support corporate governance and entity management for QGS and its affiliated entities, including resolutions, corporate records, and board or committee materials, while growing into broader board-support responsibilities with guidance from Quanta Services corporate legal.
  • Report legal and compliance matters, risk exposure, and program status to QGS leadership and to corporate legal on an agreed cadence.
  • Translate legal and regulatory risk into plain business language for audiences who are not lawyers, including operations leaders, project teams, and government customers.

 

Government Contracts & Federal Compliance

  • Serve as the company’s legal authority on the FAR, DFARS, and the DOE Acquisition Regulation (DEAR), including clause interpretation, flowdown decisions, and negotiation of contract terms.
  • Review and negotiate prime contracts, task orders, teaming agreements, nondisclosure agreements, joint venture and mentor protege arrangements, and subcontracts, with particular attention to risk allocation, indemnity, limitation of liability, warranty, and insurance provisions.
  • Advise on organizational conflicts of interest, procurement integrity, contingent fee restrictions, and the gratuity and business courtesy rules that apply when working with federal customers.
  • Support requests for equitable adjustment, change and claims positions under the Contract Disputes Act, terminations, stop work orders, and responses to government audits and inquiries.
  • Advise on mandatory disclosure obligations, False Claims Act exposure, suspension and debarment risk, and the responses that protect the company’s eligibility to compete.
  • Lead the Contracts team and partner with Finance on cost allowability under FAR Part 31, Cost Accounting Standards applicability, DCAA audit support, and certified cost or pricing data requirements.
  • Advise on small business subcontracting plans, limitations on subcontracting, and affiliation and size status questions.
  • Support proposal development by reviewing solicitation terms, developing exception and assumption language, clearing representations and certifications, and advising on debriefings and protest strategy.
  • Advise on export controls, controlled unclassified information and unclassified controlled nuclear information handling, and the legal dimension of DFARS cybersecurity clauses and CMMC obligations, in partnership with Information Technology.

 

Ethics, Compliance & Investigations

  • Support and continue developing the QGS ethics and business conduct program, including the code of conduct, hotline intake and triage, conflict-of-interest disclosures, and required training, with guidance from Quanta Services corporate legal.
  • Conduct and support internal investigations, working with People & Workforce Operations, Operations, Quanta Services corporate legal, and outside counsel where appropriate, and help carry corrective actions through closure.
  • Maintain the compliance calendar and help strengthen internal controls for federal contractor obligations, including regulatory reporting, certifications, and records retention, with support from Quanta Services corporate legal.
  • Advise on anticorruption requirements, gifts and gratuities, lobbying and political activity restrictions, and the permitted use of federal funds.
  • Help build a culture in which people raise questions early, and be approachable enough that they do.

 

Labor & Employment

  • Advise People & Workforce Operations on employment matters, including classification, wage and hour questions, accommodation, leave, performance management, discipline, separations, and restrictive covenants.
  • Support compliance with service contract labor standards, prevailing wage requirements, and collective bargaining obligations where they apply to project work.
  • Advise on affirmative action and OFCCP obligations, agency audits, and the associated recordkeeping.
  • Support the resolution of agency charges and employment disputes in coordination with Quanta Services corporate legal and outside counsel, as needed.

 

Commercial Contracting & Transactions

  • Draft and negotiate commercial agreements, including vendor and supplier contracts, master service agreements, software and license agreements, leases, and professional services agreements.
  • Maintain practical contract standards, templates, and playbooks so that routine agreements move without unnecessary legal review.
  • Support Quanta Services corporate legal on diligence and integration when a target has current government contracts, security clearances, or federal compliance obligations that require government-contracts expertise.
  • Advise on intercompany work agreements and shared services arrangements among Quanta operating companies, including the compliance boundary that federal work requires.
  • Partner with business leaders to structure arrangements that are commercially sound and legally compliant.

 

Risk Management & Disputes

  • Identify and assess legal and regulatory risk across the business and recommend practical mitigation that leadership can act on.
  • Support disputes from first demand through litigation, arbitration, or administrative proceedings in coordination with Quanta Services corporate legal and outside counsel, with the opportunity to assume greater matter-management responsibility over time.
  • Partner with Risk Management and Finance on insurance programs, surety and bonding, subcontractor default risk, and indemnity structures.
  • Coordinate legal holds, preservation obligations, and discovery responses with Quanta Services corporate legal and outside counsel.
  • Track the legal budget, outside counsel spend, rate agreements, and matter forecasts in coordination with QGS leadership and Quanta Services corporate legal.

 

Leadership & Team Development

  • Lead, coach, and develop the Legal, Compliance, and Contracts team.
  • Serve as a visible and trusted leader who models integrity, sound judgment, and discretion.
  • Represent the legal function in leadership forums, company-wide communications, and customer meetings.
  • Build strong working relationships across Operations, Project Delivery, Finance, Information Technology, Supply Chain, and People & Workforce Operations.

What You'll Bring

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law and in good standing with at least one U.S. state bar. If you are licensed outside the state in which you reside, we will support registered in house counsel status where a state requires it.
  • 6 to 10 years of progressive legal experience. A mix of law firm and in house experience is welcome, and we are open to candidates whose depth comes from federal government service.
  • Working knowledge of federal government contracting law, including the FAR and DFARS, with the practical judgment to apply it to live business decisions rather than in the abstract.
  • Demonstrated experience drafting and negotiating contracts, and advising senior leaders on commercial and regulatory matters.
  • Sound judgment and the ability to reach a clear position when the facts are incomplete and the timeline is short.
  • Excellent written and verbal communication, with the ability to be credible in front of executives, government customers, and auditors.
  • High integrity, professionalism, and discretion in handling confidential and sensitive information.
  • Experience selecting and managing outside counsel and legal spend, or the readiness to take that on.
  • Must be a U.S. citizen and able to obtain and maintain the site access and/or security clearance required by assigned contracts. DOE “L” or “Q” clearance eligibility may be required.
  • Willingness to travel to Houston and to project sites as needed

 

Preferred Qualifications:

  • Experience in the federal government legal space is our strongest preference. That can come from in house counsel work at a federal contractor, service in an agency Office of General Counsel, work as legal advisor to a contracting activity, a government contracts practice at a law firm, or service as a judge advocate.
  • Experience supporting DOE, NNSA, DoW (formerly DoD), or other federal agency contracts, including work performed on government controlled sites.
  • Familiarity with construction, engineering, energy, or industrial services work, including subcontract structures and project delivery risk.
  • Experience with bid protests before the Government Accountability Office or the Court of Federal Claims, and with claims before a board of contract appeals.
  • Familiarity with parent and subsidiary shared services relationships in a structure with multiple operating companies.
  • Experience with labor and employment matters in a federal contractor setting, including OFCCP compliance and service contract labor standards.
