These Affiliate Program Terms of Service ("Affiliate Terms") are a binding agreement between Rapidr, Inc., the operator of DailyRemote at dailyremote.com ("DailyRemote", "we", "us", "our"), and the person or entity that applies to or participates in the DailyRemote Affiliate Program ("Affiliate", "you", "your"). By submitting an application, accessing the Affiliate Dashboard, placing an Affiliate Link, or accepting a commission payment, you agree to these Affiliate Terms, our Terms of Service, and our Privacy Policy. If you do not agree, do not apply and do not use any Affiliate Link.
YOU MAY NOT BID ON, TARGET, OR OTHERWISE PURCHASE ADVERTISING FOR THE WORD "DAILYREMOTE", "DAILY REMOTE", ANY MISSPELLING OR VARIATION OF IT, OR ANY PROTECTED SEARCH TERM ON GOOGLE, BING, OR ANY OTHER SEARCH ENGINE, APP STORE, OR ADVERTISING NETWORK. YOU MAY NOT SEND PAID SEARCH TRAFFIC DIRECTLY TO DAILYREMOTE.COM. YOU MAY NOT REFER YOURSELF. YOU MAY NOT PRESENT YOURSELF AS DAILYREMOTE. YOU MUST DISCLOSE THE AFFILIATE RELATIONSHIP.
Participation is revocable. Dashboard amounts are provisional, not vested earnings. We may suspend or remove an Affiliate, reject a referral, extend a review, place a reserve, withhold or reverse commissions, and recover amounts previously paid as these Affiliate Terms permit. A breach of any of the rules above may result in immediate termination, forfeiture of all unpaid commissions, and repayment of commissions earned during the breach. The full rules are in Sections 3 through 16 below. The commercial terms (commission rate, cookie window, payout schedule) are summarised in Section 3 and may change in line with Section 16.
You apply to the Program through the Affiliate Platform. You must provide complete, accurate, and current information, including your legal name or legal entity name, country of residence or incorporation, the websites, social accounts, newsletters, or other channels ("Promotional Channels") on which you intend to promote DailyRemote, and valid payout details. You must keep this information up to date in the Affiliate Dashboard.
We may accept or reject any application at our sole discretion and without giving a reason. We may reject or later remove any Affiliate whose Promotional Channels contain, promote, or link to content that is unlawful, sexually explicit, violent, discriminatory, defamatory, deceptive, infringing, or that in our reasonable opinion could harm the reputation of DailyRemote. An approval email or an active Affiliate Dashboard is the only confirmation of acceptance. We may ask for more information before deciding. If we have not notified you of approval within 30 days of a complete application, the application is deemed rejected; you may re-apply later.
You may hold only one affiliate account. You may not create additional accounts in your name, in a different name, or through a related entity, and you may not share, sell, rent, or transfer your account or any Affiliate Link. Holding multiple accounts is a material breach.
You are responsible for all activity under your affiliate account. Keep your login credentials confidential and notify us at contact@dailyremote.com immediately if you suspect unauthorised access.
Approval is revocable and does not guarantee continued participation, any minimum duration, or any minimum level of traffic or commission. We may re-review you, your Promotional Channels, traffic sources, marketing methods, identity, tax status, and compliance at any time. To the fullest extent permitted by law, we may approve, reject, suspend, restrict, or remove an Affiliate, or require changes to an Affiliate's promotion, at our discretion where we consider it appropriate to protect DailyRemote, our users, our brand, the integrity or economics of the Program, or our compliance with law or third-party requirements. You must provide requested information within 5 business days, or sooner where reasonably necessary to address suspected fraud or legal risk. Failure to cooperate is a material breach.
You may not appoint sub-affiliates, redistribute Affiliate Links through an affiliate network, or allow another person or entity to promote under your account without our prior written approval. You are responsible for every act and omission of your employees, contractors, agencies, media buyers, and other persons acting for you as if it were your own. Our approval of a Promotional Channel or person does not waive any requirement of these Affiliate Terms.
You may place Affiliate Links, codes, Marks, and Creatives only on the Promotional Channels listed in your application or later added to your Affiliate Dashboard, or otherwise approved by us in writing. Before you promote DailyRemote on a new channel, add it to the Affiliate Dashboard or tell us by email. On request you must give us a complete, current list of every place where your Affiliate Links appear or are planned to appear, and you must promptly remove an Affiliate Link from any page, post, or channel we consider objectionable, inaccurate, or inconsistent with these Affiliate Terms.
Subject to these Affiliate Terms, we will pay you a commission equal to 30% of Net Revenue from each Qualified Purchase made by a Referred Customer ("Standard Rate"). The Standard Rate applies to all Affiliates unless we have agreed a different rate with you in writing or a different rate is displayed for your account in the Affiliate Dashboard.
For subscription products, the commission is recurring: you earn the Standard Rate on the initial payment and on each successful renewal payment made by the same Referred Customer for the same subscription, for as long as (a) the Referred Customer remains a paying subscriber, (b) your affiliate account remains active and in good standing, and (c) the Program continues. For one-time products (for example a lifetime plan or a one-time monthly pass), the commission is earned once on the payment.

Clicks, referrals, Qualified Purchases, Net Revenue, and commissions are determined solely by the records of the Affiliate Platform and our payment processor. You agree that those records are final and binding, and that we are not liable for any commission that the Affiliate Platform fails to track for any reason, including a visitor's browser settings, cookie deletion, ad blockers, use of a different device, or a broken or altered Affiliate Link.
Every click, referral, purchase, and commission displayed in the Affiliate Dashboard is an estimate and remains provisional. No commission is earned, vested, payable, or owed unless and until (a) the purchase satisfies every requirement for a Qualified Purchase, (b) the applicable lock and review periods have expired, (c) we have completed any compliance or fraud review, (d) the commission has been approved by us and the Affiliate Platform, and (e) the commission has actually been paid. Approval, a dashboard label, a prior payment, or our failure to identify an issue earlier does not create a right to any other commission, establish a course of dealing, or waive our right to correct, reverse, withhold, set off, or recover an amount under these Affiliate Terms.
To the fullest extent permitted by law, we determine whether traffic, a customer, a purchase, or a renewal qualifies for commission. We may reject, cancel, reclassify, or attribute a transaction to another Affiliate or to no Affiliate where our records or the information reasonably available to us indicate that it is not a legitimate, incremental, good-faith referral or that crediting it would undermine the integrity or commercial purpose of the Program. Grounds include duplicate, automated, test, accidental, incentivised, misleading, unapproved, non-human, collusive, self-referred, or abnormally generated traffic; a pre-existing customer or purchase intent; misuse of a code; an unauthorised Promotional Channel; incomplete or inconsistent tracking data; an unusual refund, dispute, conversion, or geographic pattern; a pricing or technical error; or conduct that breaches these Affiliate Terms. Except for a manifest calculation error, our determination is final as between you and us.
When a visitor clicks your Affiliate Link, the Affiliate Platform stores an identifier in the visitor's browser (a first-party cookie and/or local storage value) and records the click. When that visitor later makes a purchase on dailyremote.com from the same browser, the identifier is passed to our checkout and the purchase is attributed to you. You must use your Affiliate Link exactly as issued. You may add UTM or sub-ID parameters where the Affiliate Dashboard allows, but you may not alter, shorten in a way that strips parameters, frame, cloak, or redirect the link in a manner that prevents tracking.
The Attribution Window is 60 days from the visitor's last click on your Affiliate Link. A Qualified Purchase made after the Attribution Window expires, or after the identifier has been deleted, blocked, or overwritten, does not earn a commission. Each new click on your Affiliate Link restarts the 60-day window for that visitor.
If a visitor clicks Affiliate Links from more than one Affiliate, the Affiliate whose link was clicked last before the purchase receives the commission. If a visitor arrives through a non-affiliate channel we operate (for example our own paid ads, our newsletter, or a direct visit) after clicking your link, the Affiliate Platform's attribution rules apply and we do not guarantee that the purchase will be attributed to you.
Commission is paid only for new customers. If a visitor already has a DailyRemote account, has previously purchased a DailyRemote product, or is already attributed to another Affiliate outside the last-click rule, no commission is earned. We may use email address, account ID, payment details, device, and IP address to determine whether a customer is new.
We do not credit commissions for purchases that were not tracked by the Affiliate Platform, and we do not manually re-attribute purchases on request, except where we determine at our sole discretion that a tracking failure was caused by us.
A commission is first recorded as "pending" when a payment succeeds. It ordinarily becomes eligible for approval 30 days after the payment date, provided the purchase has not been refunded, disputed, reversed, rejected, or reclassified and you are not in breach of these Affiliate Terms. The 30-day period is a minimum review period, not a promise of approval. We may extend it for any compliance, fraud, traffic-quality, refund, chargeback, legal, tax, sanctions, payment-provider, or technical review, or where information required from you remains outstanding.
Approved commissions are ordinarily paid on a monthly cycle, net 30. Commissions approved during a calendar month are generally paid in the following calendar month, usually at the end of that month. By way of example, a Qualified Purchase made on 1 March may be approved on or around 31 March and paid on or around 30 April. All dates are estimates, not guaranteed payment dates, and remain subject to Sections 3.6 and 5.9. We are not in breach merely because a review, banking delay, Affiliate Platform failure, legal requirement, or other matter permitted by these Affiliate Terms delays a payout, and no interest accrues on a pending, reserved, withheld, or delayed amount.
We pay out only when your approved, unpaid balance is US $100 or more. Balances below the threshold roll over to the next cycle until the threshold is met. If your account is terminated by us without cause, or you close your account in good standing, we will pay any approved balance regardless of the threshold at the next cycle.
Payouts are made in US dollars through the Affiliate Platform to the Wise account you have configured. You are responsible for any fees charged by Wise, your bank, or intermediary banks, and for any currency conversion costs and exchange-rate differences. We are not responsible for payments sent to incorrect payout details that you provided.
You are solely responsible for all taxes on your commissions. We may require you to provide a completed IRS Form W-9 (U.S. persons) or Form W-8BEN / W-8BEN-E (non-U.S. persons) or equivalent tax documentation before we release any payout, and we may withhold payout until we receive it. Where the law requires, we will deduct withholding tax from your payouts. Commissions are stated exclusive of VAT, GST, or similar taxes; if you are required to charge such tax, you must tell us in advance and provide a compliant invoice.
If a Qualified Purchase is refunded, charged back, disputed, reversed, cancelled, rejected, or reclassified, or if we determine that a commission arose from a breach, error, fraud, abuse, duplicate attribution, or non-qualifying traffic, we may reverse the commission. If the commission has already been paid, we may deduct the amount and any directly related fees, chargebacks, taxes, investigation costs, or losses from any present or future amount payable to you under the Program or any other arrangement with us, or invoice you. You agree to repay an invoiced amount within 30 days of our request. We may correct a tracking, attribution, pricing, currency, or calculation error whenever discovered, including after payment or termination. Payment does not prevent a later clawback.
If we are unable to pay you because your payout details are missing, invalid, or rejected, or because you have not provided required tax documentation, and you do not resolve the issue within 12 months of our first notice, the approved balance is forfeited to the extent permitted by law.
You must raise any dispute about a commission or payout in writing within 60 days of the relevant payout date (or the date the payout would have been made). After 60 days the statement is deemed accepted.
We may withhold all or part of any pending, approved, or otherwise payable commission, place or increase a reserve, delay approval or payment, or instruct the Affiliate Platform or a payment provider to do so, where we reasonably consider it necessary to protect against actual or potential refunds, chargebacks, disputes, fraud, abuse, breach, sanctions exposure, tax liability, legal process, negative balances, payment-provider risk, third-party claims, or losses to DailyRemote or its users. We may also do so while we investigate abnormal traffic or await information from you or a third party. A hold or reserve may remain in place for as long as we determine is reasonably necessary to resolve the relevant risk, including through the expiry of applicable chargeback or dispute periods. No interest or other compensation accrues, and releasing one amount does not require us to release another.
To the fullest extent permitted by law, we may set off any amount you owe us or any reasonably estimated exposure arising from your account against any commission, credit, refund, or other amount payable by us or our affiliates to you, whether under this Program or another agreement and whether the amount is current, future, contingent, or disputed. Our exercise or non-exercise of set-off does not limit any other remedy. You are responsible for reasonable collection costs, including legal fees, incurred to recover an overdue amount where permitted by law.
You may request a unique discount code for your audience by emailing contact@dailyremote.com. Codes are issued at our discretion and remain our property. We may change or withdraw a code at any time.
Offering a discount reduces your commission rate by the same number of percentage points. For example, if your code gives a 10% discount, your commission on purchases made with that code is 20% instead of 30%. If the discount equals or exceeds your commission rate, no commission is earned on those purchases.
Subject to Sections 8 through 11, you may promote DailyRemote through channels that you own or are authorised to use, including:
In short: avoid anything that cannibalises DailyRemote's own marketing efforts, and act as an independent publisher that recommends DailyRemote. If you are unsure whether a method is allowed, ask us at contact@dailyremote.com before using it.
This Section is a material term of the Program. It exists because affiliate paid search on our brand and core terms raises our advertising costs, takes credit for customers we would otherwise acquire directly, and confuses users. Every restriction in this Section applies to you, to any agency, contractor, network, sub-affiliate, or other person acting for you or with your knowledge, and to any account you control or benefit from.
You may not bid on, purchase, target, or otherwise cause an advertisement to be displayed for any Brand Term, alone or in combination with any other word, on any search engine, advertising network, marketplace, or platform that sells keyword-, query-, or intent-based advertising. This includes without limitation:
If you run any paid search, shopping, or automated campaign on any platform, you must add every Brand Term as a negative keyword in both phrase match and exact match at the account level (or campaign level for every campaign) before the campaign goes live, and you must keep those negatives in place for as long as the campaign runs. At a minimum your negative list must include: dailyremote, daily remote, dailyremote.com, daily remote jobs, dailyremote jobs, dailyremote premium, dailyremot, daily-remote, dailyremotejobs, and daily remote job. You must review your search terms report at least weekly and add any new Brand Term variant that appears. An ad impression for a Brand Term is a breach whether or not it resulted in a click.
You may not use dailyremote.com, any DailyRemote URL, or any redirect that resolves to DailyRemote as the final URL, display URL, display path, or landing page of any paid search, shopping, or app-store advertisement. All paid search traffic must land on a page that you own and operate, that clearly identifies you as an independent publisher, and that contains your Affiliate Link as an ordinary link. Direct linking from paid social is discouraged and may be prohibited on request.
You may not bid on, purchase, or target any Protected Term on any search engine or platform described in Section 8.1. We publish the current list of Protected Terms in the Affiliate Dashboard and may add terms at any time. We will notify you of additions by email or dashboard notice, and you must add the new terms as negative keywords within 3 business days of notice. Bidding on any term for which DailyRemote appears on the first page of organic results, in a manner that competes with or outranks our own listing or advertisement, is treated as bidding on a Protected Term even if the term is not yet on the published list.
You may not use any Brand Term or Mark in the headline, description, sitelink, callout, structured snippet, display URL, display path, final URL path, image, logo, business name, or any other element of a paid advertisement, except that you may use the plain word "DailyRemote" in ad description text when (a) the ad is not triggered by a Brand Term or Protected Term, (b) the ad is clearly from you and not from DailyRemote, and (c) we have not asked you to stop.
You may not knowingly appear in the same advertising auction as DailyRemote for any query, may not outrank, outbid, or position your advertisement above or alongside ours for a Brand Term or Protected Term, and may not use any tool, script, or service to monitor our bids for the purpose of bidding against us.
You may not register, own, use, or operate any domain name, subdomain, URL path, social media handle, page name, group name, channel name, app name, browser extension name, or email address that contains a Brand Term or is confusingly similar to one (for example dailyremote-deals.com, getdailyremote.net, @dailyremotejobs, or dailyremote.yoursite.com). Any such registration must be transferred to us on request at no cost.
You may not optimise pages for Brand Terms in a way that implies the page is operated by, endorsed by, or the official site of DailyRemote, including page titles such as "DailyRemote Official", "DailyRemote Login", "DailyRemote Sign Up", or "DailyRemote Support". Honest reviews, comparisons, and opinion pieces that clearly identify you as an independent publisher are permitted.
On request you must, within 3 business days, give us read-only access to, or full screenshots and exports of, any paid advertising account you use to promote DailyRemote, including campaign settings, keyword lists, negative keyword lists, search terms reports, ad copy, and landing pages, for the period we specify. Refusal or delay is treated as a breach of this Section.
A breach of this Section is a material breach that cannot be cured. On a breach we may, in addition to any other remedy in Section 14, (a) terminate your participation immediately, (b) forfeit all pending and approved but unpaid commissions, (c) reverse and recover all commissions paid for any period in which the breach occurred, and (d) recover our losses, including our increased advertising costs and the commissions we paid on customers we would have acquired directly, as provided in Section 14.4.
You may not, and may not permit or encourage any other person to:
You may not offer cash, cashback, points, rewards, prizes, gift cards, or any other inducement in return for clicking your Affiliate Link or purchasing through it, and you may not operate or syndicate to coupon, voucher, deal, cashback, loyalty, or reward sites, apps, or extensions, without our prior written approval for the specific property.
You may not send unsolicited email, SMS, WhatsApp, Telegram, or direct messages; post in forums, groups, comment sections, Q&A sites, or job boards where affiliate links are not allowed or where your post is off-topic; use purchased, rented, or scraped lists; or otherwise violate the CAN-SPAM Act, CASL, GDPR, the ePrivacy Directive, the TCPA, or any platform's anti-spam rules. Every email you send must identify you as the sender, include a working unsubscribe mechanism, and must not use "DailyRemote" in the "From" name or address.
You may not place Affiliate Links or promote DailyRemote on or alongside content that is sexually explicit, violent, hateful, discriminatory, defamatory, infringing, that promotes illegal activity, gambling, tobacco, alcohol, cannabis, illicit or prescription drugs, weapons, or explosives, that distributes malware, spyware, or other harmful code, that targets children under 18, or that otherwise could damage our reputation; in "get rich quick", MLM, work-from-home scam, or similar contexts; or on parked domains, link farms, auto-generated pages, or sites with no original content.
You may not use your own Affiliate Link or code, or any Affiliate Link you control, to purchase or sign up for DailyRemote for yourself, your household, your employees, your company, or anyone acting on your behalf, and you may not ask others to purchase through your link in order to share the commission with them. We detect self-referrals through account, payment, device, and IP matching. Self-referral is fraud and results in immediate termination and forfeiture.
You may not scrape, crawl, copy, or republish job listings, company data, talent profiles, or other content from dailyremote.com; use our pixel, audiences, or first-party data; attempt to access any part of our systems other than the Affiliate Dashboard; or interfere with the Affiliate Platform's tracking.
You may not apply to register any Mark or any confusingly similar name, logo, or domain anywhere in the world, or challenge our ownership of the Marks.
During your participation in the Program and for 12 months after it ends, you agree to the following restrictions, each of which you acknowledge is reasonable and necessary to protect our goodwill, Confidential Information, and marketing investment.
You may not use Confidential Information, performance data, conversion data, commission data, customer insight, creative assets, keyword lists, or any other information obtained through the Program to build, operate, promote, advertise, or advise any website, newsletter, app, or service that aggregates, lists, or sells access to remote, hybrid, flexible, or work-from-home job listings, or that otherwise competes with DailyRemote ("Competing Service").
You may not use Brand Terms, Protected Terms, our Marks, or our Confidential Information to attract traffic that you then direct, in whole or in part, to a Competing Service; operate pages or ads optimised for Brand Terms whose primary purpose is to promote a Competing Service (for example "DailyRemote alternatives" pages that are monetised with competing offers and do not give an honest, prominent recommendation of DailyRemote); or bid on any term for the purpose of diverting users searching for DailyRemote to a Competing Service.
You may not use information obtained through the Program to solicit, recruit, or divert any Referred Customer, DailyRemote customer, employer, advertiser, sponsor, or partner to a Competing Service, and you may not contact Referred Customers for any purpose other than your own lawful communications to your own audience. You may not solicit or encourage any employee or contractor of Rapidr, Inc. to end or reduce their engagement with us.
You may not direct a visitor who has clicked your Affiliate Link to complete a purchase through any channel other than our checkout, offer to sell or resell DailyRemote access, accept payment for DailyRemote products, or otherwise structure a transaction to avoid the Program's tracking, pricing, or these Affiliate Terms.
Nothing in this Section prevents you from publishing honest, accurate, fairly balanced reviews or comparisons that mention competitors, or from participating in other affiliate programs, provided you comply with Sections 8, 9, and 10.1 through 10.4 and do not use our Marks or Confidential Information to do so.
If a court finds any restriction in this Section too broad to enforce, the restriction will be enforced to the maximum extent permitted, and the remaining restrictions stay in force.
You must clearly and conspicuously disclose your material connection to DailyRemote on every page, post, video, email, or message that contains an Affiliate Link, before the link and in a place the audience cannot miss, in line with the U.S. FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255), the FTC's Disclosures 101 guidance, the UK CMA and ASA rules, and any equivalent law where your audience is located. Acceptable wording includes "This post contains affiliate links. If you sign up through them I may earn a commission at no extra cost to you." Hashtags such as "#ad" or "#affiliate" alone are acceptable only where the platform and the applicable law accept them.
You must comply with all applicable laws, regulations, and industry codes, including advertising, consumer protection, unfair competition, trademark, copyright, data protection and privacy (including GDPR, UK GDPR, CCPA/CPRA, and the ePrivacy Directive), anti-spam, tax, and export-control laws, and with the terms and advertising policies of every platform on which you promote DailyRemote.
You are an independent controller of any personal data you collect from your own audience. You must have a lawful basis and a compliant privacy notice for any data you collect, must obtain any consent required for cookies or tracking on your properties, and must not send us personal data about your audience except through the Affiliate Platform's ordinary tracking. We do not share Referred Customers' personal data with you; the Affiliate Dashboard shows only aggregated or pseudonymised referral data.
You are solely responsible for the content of your Promotional Channels. You must keep any description of DailyRemote, its pricing, features, and policies accurate and current, and must correct or remove outdated content within 3 business days of our request.
While you are an Affiliate in good standing, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to display the Marks and the banners, logos, text links, screenshots, and other creative assets we make available in the Affiliate Dashboard ("Creatives"), solely to identify and promote DailyRemote in accordance with these Affiliate Terms.
All rights in the Marks, Creatives, dailyremote.com, and our content remain with Rapidr, Inc. All goodwill from your use of the Marks accrues to us. All reports, statistics, conversion and performance data, and other data generated through the Program, other than your own audience data, are our property. You grant us a non-exclusive, royalty-free, worldwide licence to use your name, logo, and Promotional Channel names to identify you as an Affiliate. You may opt out of this by email.
"Confidential Information" means any non-public information you obtain through the Program, including your commission rate if it differs from the Standard Rate, conversion rates, earnings per click, refund rates, customer counts, Referred Customer data, unreleased features, pricing tests, Protected Term lists, and the contents of communications with us. You must keep Confidential Information strictly confidential, use it only to participate in the Program, and not disclose it to any third party except your professional advisers under a duty of confidence. This obligation survives for 3 years after the Program ends for you, and indefinitely for trade secrets and personal data. You may disclose that you are a DailyRemote Affiliate and the publicly advertised Program terms.
Confidential Information does not include information that (a) is or becomes public through no breach by you, (b) you already lawfully held before receiving it from us, (c) you lawfully receive from a third party who owes us no duty of confidence, or (d) you are required to disclose by law or court order, provided you give us prompt notice where lawful so we can seek protection. When the Program ends for you, or earlier on our request, you must return or permanently delete all Confidential Information in your possession or control, other than copies in routine backups, which remain subject to this Section, and confirm this in writing if we ask.
We and our service providers monitor search engine results and advertising auctions, domain registrations, social platforms, coupon sites, and traffic patterns for compliance. You consent to this monitoring and to our use of third-party brand-protection tools.
If we suspect a breach of these Affiliate Terms or fraudulent, abnormal, non-incremental, misleading, or low-quality traffic (for example unusual click, conversion, refund, device, or geographic patterns), we may suspend your account, disable links or codes, withhold approval and payment of any commission, place a reserve, and extend the lock period while we investigate. You must cooperate fully and promptly, including in responding to any complaint, claim, or request from a user, advertiser, platform, or regulator about where or how your Affiliate Links or Creatives appear, and by explaining every traffic source and providing requested identity records, campaign settings, search-term reports, ad-account exports, placement URLs, referrer data, analytics, invoices, communications, screenshots, or other evidence relevant to compliance. We may protect confidential fraud-detection methods, customer data, privileged material, and information that law or a third party prevents us from disclosing.
If we determine, acting reasonably, that you have breached these Affiliate Terms, we may take any or all of the following actions, without prior notice and without liability to you:
You acknowledge that a breach of Sections 8, 9.2, 9.6, or 10 can cause losses that are real but difficult to quantify, including increased cost per click, lost direct conversions, chargebacks, investigation costs, and damage to our brand. In addition to the remedies in Section 14.3, we may reverse or recover commissions generated during or attributable to the breach and recover our documented losses arising from it, including incremental advertising costs, chargebacks and fees, the reasonable cost of investigation and brand-protection tools, and reasonable legal fees where permitted by law. These remedies are intended to compensate us and prevent you from retaining proceeds of a breach, not to impose a penalty, and we may not obtain a double recovery for the same loss. We may seek injunctive relief to stop a breach of Sections 8, 9, 10, 12, or 13 without posting a bond, in addition to any other remedy.
We may act on the records and information reasonably available to us, including patterns, technical signals, circumstantial evidence, and information supplied by users, platforms, payment providers, or third parties; a criminal conviction, regulatory finding, admission, or proof beyond a reasonable doubt is not required. You bear the burden of showing that disputed traffic and transactions were legitimate, incremental, properly attributed, and compliant with these Affiliate Terms. To the fullest extent permitted by law, our compliance, attribution, suspension, reserve, withholding, reversal, and termination decisions are final and binding absent manifest error, provided that nothing in this Section permits us to act dishonestly or contrary to a non-waivable law.
These Affiliate Terms take effect when we approve your application and continue until terminated by either party.
You may leave the Program at any time by closing your account in the Affiliate Dashboard or by emailing contact@dailyremote.com.
Participation in the Program is a revocable privilege, not a guaranteed right. To the fullest extent permitted by law, we may suspend, restrict, or terminate your participation, any Affiliate Link or code, or the Program as a whole at any time, with or without cause, for any lawful reason or no stated reason, by email, dashboard notice, or disabling the account. We may act immediately and without prior notice where we suspect a breach, fraud, abuse, legal or reputational risk, low-quality traffic, false information, a conflict with our commercial interests, inactivity of 12 months or more, or where the Program or Affiliate Platform is changed or discontinued. We have no obligation to provide an opportunity to cure unless we expressly agree to do so in writing.
We may change these Affiliate Terms, the commission rate, the Attribution Window, the lock period, the payout schedule or threshold, the list of Commissionable Products, the list of Protected Terms, the Affiliate Platform, or any other aspect of the Program at any time. We will give notice of material changes by email to the address in your Affiliate Dashboard, by dashboard notice, or by updating the "Last updated" date on this page, at least 14 days before a change to the commission rate or payout terms takes effect, and on posting for all other changes. Changes to the commission rate apply to purchases and renewals that occur after the effective date, including renewals by existing Referred Customers. Your continued participation after the effective date is acceptance of the change. If you do not agree, your only remedy is to leave the Program under Section 15.2.
You and Rapidr, Inc. are independent contractors. Nothing in these Affiliate Terms creates an employment, agency, partnership, joint venture, franchise, or fiduciary relationship. You have no authority to make any statement, representation, warranty, offer, or commitment on our behalf, and you must not purport to do so. You are responsible for your own business expenses, equipment, insurance, and taxes, and for the people you engage. The Program is non-exclusive: nothing in these Affiliate Terms restricts us from working with other affiliates, partners, or networks, from marketing DailyRemote directly through any channel, including channels where you also promote, or from dealing directly with anyone acting for you.
THE PROGRAM, THE AFFILIATE PLATFORM, THE AFFILIATE DASHBOARD, THE AFFILIATE LINKS, THE CREATIVES, AND DAILYREMOTE.COM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAPIDR, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TRACKING WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY LEVEL OF TRAFFIC, CONVERSIONS, OR COMMISSIONS WILL BE ACHIEVED, OR THAT THE PROGRAM WILL CONTINUE FOR ANY PERIOD.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAPIDR, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE AFFILIATE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THE PROGRAM SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless Rapidr, Inc. and its officers, directors, employees, agents, successors, and assigns from and against all claims, demands, losses, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your Promotional Channels and their content; (b) your breach of these Affiliate Terms, including Sections 8 through 11; (c) your violation of any law, regulation, platform policy, or third-party right, including intellectual property, privacy, advertising, consumer protection, and anti-spam laws; (d) any claim that you are our employee, agent, or partner; (e) any tax liability relating to your commissions; and (f) any fraud or misrepresentation by you or anyone acting for you.
We will notify you of a claim for which we seek indemnity; a delay in notice does not reduce your obligations except to the extent you are materially prejudiced by it. We may choose to control the defence and settlement of any claim with counsel of our choice at your expense, or require you to defend it with counsel reasonably acceptable to us, in which case we may participate with our own counsel at your expense and you must keep us informed. You may not settle any claim, or admit liability on our behalf, without our prior written consent. You must reimburse covered costs as they are incurred. This Section survives termination.
These Affiliate Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. Any dispute arising out of or relating to the Program or these Affiliate Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction, except that we may seek injunctive relief in any court of competent jurisdiction to protect our Marks, Confidential Information, or against brand bidding.
To the maximum extent permitted by law, any dispute will be conducted only on an individual basis and not in a class, consolidated, or representative action, and each party waives any right to a jury trial. Any claim by you arising out of or relating to the Program or these Affiliate Terms must be brought within one year after the claim arose, or it is permanently barred.
If these Affiliate Terms conflict with our Terms of Service, these Affiliate Terms control for matters relating to the Program. If these Affiliate Terms conflict with the terms of the Affiliate Platform, these Affiliate Terms control as between you and us. If we have signed a separate written agreement with you that expressly overrides these Affiliate Terms, that agreement controls to the extent of the conflict.
You may not assign or transfer these Affiliate Terms or your account without our prior written consent. We may assign these Affiliate Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.
We may give notice by email to the address in your Affiliate Dashboard, by dashboard notice, or by posting on this page. You must give notice to us by email to contact@dailyremote.com. Email notices are deemed received on the business day after sending.
If any provision of these Affiliate Terms is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. These Affiliate Terms, together with our Terms of Service, Privacy Policy, and any Program information in the Affiliate Dashboard, are the entire agreement between you and Rapidr, Inc. regarding the Program and supersede all prior communications and understandings on the subject.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including failures of the Affiliate Platform or payment providers, internet outages, changes in platform policies, labour disputes, government action, or natural disasters.
These Affiliate Terms benefit only you and Rapidr, Inc. They do not give any Referred Customer, audience member, sub-affiliate, service provider, or other third party a right, remedy, or claim against us.
Our rights and remedies are cumulative. Suspending an account, withholding or reversing a commission, exercising set-off, terminating participation, or pursuing one remedy does not prevent us from pursuing another remedy arising from the same conduct, subject to any prohibition on double recovery under applicable law.
Section headings and examples are for convenience and do not limit the operative language. "Including" means "including without limitation". A reference to our discretion means our discretion exercised consistently with any non-waivable duty imposed by applicable law. If a restriction is unenforceable as written, it must be enforced to the maximum lawful extent rather than discarded entirely.
We are not bound by a typographical, clerical, pricing, or calculation error in these Affiliate Terms, the Affiliate Dashboard, the Program page, a Creative, or any communication with you, and we may correct such an error at any time, including by adjusting a commission, rate, or balance that was stated or paid in error.
