The Corporate Finance Manager will oversee financial workstreams across the transaction lifecycle, including investment structuring, due diligence, and financing. They will manage relationships with internal and external stakeholders to ensure transactions are financially sound and executed efficiently.
We are seeking an experienced and commercially minded Corporate Finance Manager to support the Group’s investment, acquisition, financing and corporate finance activities, with a particular focus on hospitality investments and transactions. In this role, you will be role responsible for managing key financial workstreams across the transaction lifecycle, from investment structuring and due diligence through financing, capitalisation, closing and investor reporting. The successful candidate will work closely with internal stakeholders, investors, lenders, legal counsel, tax advisors, asset management teams and external professional advisors to ensure transactions are financially sound, properly funded and executed efficiently. This is a hands-on role suited to a finance professional with strong corporate finance, transaction execution, investment or real estate/hospitality experience, and who is comfortable working in a fast-paced, multi-stakeholder environment.
KEY RESPONIBILITIES
Investment & Transaction Analysis
Support financial analysis and underwriting for hotel acquisitions, investments and strategic transactions.
Review and assess investment assumptions including revenue, ADR, occupancy, GOP, operating costs, capex and projected cash flows.
Develop and maintain financial models to evaluate investment returns, funding requirements, financing structures and transaction economics.
Conduct sensitivity and scenario analysis to assess key investment risks and potential returns.
Support investment committee materials, transaction recommendations and financial analysis.
Transaction Due Diligence & Structuring
Coordinate finance-related due diligence activities for investments and acquisitions.
Support the review of investment and holding structures, including relevant Singapore/offshore structures.
Coordinate with tax advisors on tax structuring, tax due diligence and tax opinions.
Review financial implications of legal, commercial, technical and operational due diligence findings.
Support the establishment and capitalisation of investment vehicles and special purpose entities, Work closely with legal counsel and external advisors on transaction documentation and financial requirements.
Debt Financing & Lender Management
Lead the financing process for acquisitions and investment projects, including developing financing strategies and identifying suitable lenders.
Prepare lender information packs and financial materials.
Coordinate lender outreach, Q&A, site visits, management presentations and due diligence.
Evaluate and compare indicative financing terms and provide recommendations to senior management.
Support term sheet negotiations and lender mandate processes.
Coordinate the lender credit approval process.
Manage financing documentation including loan agreements, bond documentation and related financing arrangements.
Monitor financing conditions precedent and ensure all requirements are satisfied prior to drawdown.
Equity Funding & Capitalisation
Coordinate investor capital calls and funding requirements.
Manage equity funding into JV and investment structures.
Coordinate funding into offshore and onshore entities,
Support preferred share, and other capitalisation arrangements.
Ensure appropriate funding evidence, bank certificates and supporting documentation are available for transaction closing.
Monitor transaction funding requirements and maintain accurate funding schedules.
Cash Management & Banking
Coordinate the opening and readiness of offshore and onshore bank accounts.
Establish and monitor transaction and project bank accounts.
Coordinate loan project accounts, operating accounts, trust accounts and other required accounts.
Monitor cash flows and ensure sufficient liquidity is available for acquisition, financing, capex and operating requirements.
Coordinate payment flows and transaction settlements with internal teams, banks, trustees and external advisors.
Transaction Closing
Maintain the finance-related closing checklist and ensure all financial deliverables are completed on schedule.
Prepare and coordinate the transaction funds flow.
Ensure all financing and equity funding conditions are satisfied before closing.
Support final closing readiness and go/no-go discussions.
Coordinate with legal, deal, asset management and investor relations teams to ensure smooth transaction completion.
Investor & Management Reporting
Prepare regular updates on financing status, funding requirements and transaction readiness.
Support investor reporting and communications relating to financing and capital requirements.
Prepare financial analysis and presentations for senior management and investors.
Highlight material financial risks, funding gaps, financing issues and key transaction milestones.
Maintain accurate transaction trackers and financial documentation.
Post-Transaction Finance Setup
Coordinate the appointment and onboarding of accounting and tax service providers for investment entities.
Support the establishment of appropriate financial controls, reporting processes and banking arrangements for newly acquired assets.
Ensure transaction documentation and financial records are properly maintained and handed over to the relevant finance and asset management teams.
QUALIFICATIONS & REQUIREMENTS
Qualifications:
Bachelor’s degree in Finance, Accounting, Economics, Business, Real Estate or a related discipline.
6–10 years of relevant experience in corporate finance, investment banking, private equity, real estate investment, transaction advisory, project finance or a similar environment.
Strong experience in financial modelling, investment analysis and transaction execution.
Proven experience managing debt financing, lender processes and/or capital raising.
Experience with acquisitions, refinancing, investment transactions or structured finance is highly preferred.
Strong understanding of corporate finance, capital structures, cash flow analysis and investment returns.
Experience working with external legal, tax, accounting and financial advisors.
Strong project management skills with the ability to manage multiple workstreams and deadlines simultaneously.
Excellent analytical, communication and stakeholder management skills.
High attention to detail and strong ownership of deliverables.
Comfortable working in a fast-paced, cross-border and multicultural environment
Experience in real estate, hospitality or hotel investment will be an advantage.
Demonstrate the ability of working independently and effectively in a remote setup.
