SUMMARY

The Contract & Corporate Generalist is a versatile corporate legal generalist role for an experienced professional who enjoys hands-on contract review and negotiation, procurement support, and a broad range of corporate legal and compliance work.

This position serves as the first-line reviewer for direct and indirect procurement contracts, representing at least 50% of the role. The work requires a strong foundation in contracts and involves using AI-enabled review tools and established legal playbooks. Matters are escalated to assigned attorneys only when legal judgment is required.

At least 40% of the role is dedicated to paralegal support across the Legal divisions and overflow assistance for other support team members. This opportunity is ideal for someone who enjoys learning, can readily shift among tasks and projects, and is committed to supporting colleagues. This is a generalist, not a subject-matter expert role. The remaining 10% is reserved for emerging tasks and projects where paralegal skills can add the most value.

ESSENTIAL DUTIES AND RESPONSIBILITIES and other duties as required.

Contract Review & Procurement Enablement

• Serve as the primary reviewer for contracts supporting direct and indirect procurement (including DPAs), using a CLM system.
• Conduct contract reviews using AI-enabled tools and approved legal playbooks, identifying standard versus non-standard terms and risks.
• Independently resolve routine contract issues and escalate to the assigned attorney only when required based on playbook thresholds or risk.
• Serve as primary legal negotiator on the contracts through execution and assist in managing the signing process, following our company’s Delegation of Authority policy on authorized signatories.
• Partner closely with Direct and Indirect Procurement teams to ensure timely, business-aligned contract execution.
• Prepare risks analysis for business stakeholders to make informed risk decisions around negotiations.
• Partner with our Legal Automation team when feedback needed on how the CLM system is performing for the contract reviews and negotiations.

General Corporate Support (Examples of areas where support may be needed) 

• Compliance Support: monitor regulatory changes (e.g. trade, ESG, ethics, healthcare, etc), assist with internal compliance audits, track licensing renewals, track policy renewals, and assist in updating policies. Transaction Assistance: assist with mergers, acquisitions, and financings by organizing virtual data rooms, managing closing checklists, and tracking signature packets. Sales Support: track and coordinate the accurate completion of questionnaires and due diligence forms for prospective and existing clients. Employment Legal Support: assist managing HR legal compliance, workplace policy governance, immigration tracking, and preventative risk mitigation. Cross-Functional Communication: Serve as the primary liaison between Legal and internal stakeholders by managing legal intake, gathering information, and coordinating communications. Corporate Governance & Records: assist in maintaining minute books, manage subsidiary formations and leadership changes, file annual reports or other corporate governance support needs. 

Other Tasks and Projects, as needed

• Our team handles a broad and evolving range of matters, and you may be asked to support various areas, including newly emerging needs.

QUALIFICATIONS:

Education and/or Experience

• 5+ years’ experience of corporate paralegal experience, preferably in an in-house legal department or a major corporate law firm. Significant experience in drafting, reviewing and negotiating various complex contracts for both products we buy and sell as well as Saas and complex AI based vendors. Bachelor’s degree required. Willing to consider a junior lawyer. Comfortable and efficient operating within various legal systems (e.g., CLM, workflow, and matter management platforms) to get work done, and able to support others in the systems they use. This role operates as a user of existing systems, templates, and playbooks, not as a systems administrator or process/automation owner; suggestions for improvement are welcome, but designing or building workflows sits with other team members. Experience in collaborating with cross-functional departments. Experience working with playbooks to assist in contract reviews but other support functions as needed.

This is a remote position performed primarily in a home-office setting. It requires prolonged periods of sitting and computer use, along with the visual acuity and manual dexterity needed to operate standard office and video-conferencing equipment. Salary may vary depending on factors such as confirmed job-related skills, experience, and location. It is not typical for an individual to be hired at or near the top end of the range for their role. Compensation decisions are dependent upon the facts and circumstances of each case. Sales Positions are eligible for a Variable Incentive.
