Position Summary

The Associate General Counsel takes primary ownership of Rosecrance’s regulatory, HIPAA privacy, and transactional legal work. Working under the General Counsel and with the Senior Counsel, this hands-on in-house role knows behavioral health regulation, is comfortable being embedded with operations, and can handle transactional and corporate governance work as our organization grows through affiliations and expansion.

Qualifications:

• Juris Doctor (JD) from an accredited law school.
• Active law license in good standing in Illinois (or one of Rosecrance’s four operating states: IL, IN,IA, or WI).
• Healthcare regulatory experience, ideally in behavioral health, substance use or a similarly regulated clinical setting.
• Working knowledge of HIPAA regulations and comfort serving as a Privacy Officer.
• Some transactional or corporate experience, or a clear track record of picking up new practice areas quickly.
• Solid, practical judgment and a collaborative style that fits a fast-moving operations environment.
• M&A or affiliation experience, especially in healthcare preferred.
• Nonprofit governance and multi-entity corporate compliance experience.
• Prior in-house experience at a growing healthcare organization.
• Belief in the mission and vision of Rosecrance

Essential Responsibilities:

1. Serve as the department's primary resource on behavioral health and healthcare regulatory matters across the states where Rosecrance operates.
2. Research and interpret licensing, certification, and program requirements, and translate them into practical guidance for clinical and operational teams.
3. Partner closely with clinical operations, staying embedded enough to spot issues early and support day-to-day decisions.
4. Track regulatory changes that affect Rosecrance programs and flag what matters.
5. Serve as Rosecrance's named HIPAA Privacy Officer.
6. Own privacy policies, breach analysis and response, patient rights requests, and privacy training.
7. Advise operations on privacy questions and handle privacy-related complaints and investigations.
8. Support mergers, affiliations, and other transactions, including due diligence, document review, and coordination with outside counsel.
9. Grow into leading transactions over time as experience with Rosecrance's structure and deal approach develops.
10. Maintain corporate governance across a mix of entity types, including not-for-profit corporations and LLCs (boards, bylaws, minutes, and resolutions).
11. Handle state formation and annual registration requirements across the states where Rosecrance operates.
12. Manage IRS compliance and tax-exemption work, including exemption applications and ongoing maintenance of tax-exempt status.
13. Assume other related responsibilities as delegated and assigned.

Schedule:

• Monday - Friday: 8:30am-5:00pm 

Pay: Based on education, experience, and credentials

• Starting salary in Rockford - $72.12/hour- $150,000/year
  Starting salary in Des Plaines - $87.26/hour- $181,500/year

Work Location: Rosecrance Rockford, IL or Des Plaines, IL
