Senior Corporate Counsel

 

Location: Flexible / Remote (United States)

 

Position Summary

Legence is seeking an experienced and business-oriented Senior Corporate Counsel to join its Legal Department. Reporting to the General Counsel and working closely with senior business leaders across the organization, this attorney will provide legal support for mergers and acquisitions, acquisition integration, commercial transactions, financing activities, real estate matters, tax-related initiatives, corporate governance support, and strategic corporate projects.

 

Key Responsibilities

 

Mergers & Acquisitions / Acquisition Integration

  • Support all stages of acquisitions and divestitures, including:
    • Letters of intent
    • Confidentiality agreements
    • Due diligence
    • Disclosure schedules
    • Purchase and sale agreements
    • Closing documentation
  • Coordinate post-closing integration efforts with business and functional leaders.
  • Assist with implementation of integration plans and post-acquisition governance matters.
  • Support strategic transactions and corporate restructuring initiatives.

 

Commercial Transactions & Contracting

  • Draft, review, negotiate, and advise on:
    • Master Services Agreements
    • Statements of Work
    • Vendor agreements
    • Procurement agreements
    • Professional services agreements
    • Confidentiality agreements
    • Partnership agreements
    • Real estate and facilities-related contracts
  • Develop and maintain contract templates and playbooks.
  • Partner with business stakeholders to facilitate practical and efficient contract execution.

 

Tax, Entity Management & Corporate Structure

  • Support tax-driven corporate initiatives and restructuring projects.
  • Assist with maintenance and optimization of corporate entity structures.
  • Coordinate with external tax advisors and finance personnel.
  • Support partnership, UP-C, and other corporate structure initiatives.

 

Real Estate

  • Draft and negotiate:
    • Office leases
    • Easements
    • Access agreements
    • Real estate purchase and sale agreements
  • Support real estate diligence and closing matters associated with acquisitions.

 

Strategic Projects

  • Support enterprise-wide strategic initiatives, including:
    • Acquisition integration programs
    • Cross-functional legal projects
    • Special projects assigned by the General Counsel
    • UP-C and related transaction planning

 

Outside Counsel Management

  • Manage outside counsel on designated matters.
  • Control legal spend through effective scoping and oversight.
  • Evaluate opportunities to bring legal work in-house to improve efficiency and reduce cost.

 

Required Qualifications

  • Juris Doctor from an accredited U.S. law school.
  • Active bar admission in good standing in at least one U.S. jurisdiction.
  • Minimum 8+ years of legal experience, including substantial in-house corporate counsel experience.
  • Significant experience supporting:
    • M&A transactions
    • Commercial contracting
    • Corporate governance matters
    • Financing transactions
  • Demonstrated ability to operate independently in a fast-paced environment.
  • Strong project management, organization, and communication skills.
  • Ability to provide practical, business-focused legal advice.

Preferred Qualifications

  • Experience supporting private equity-backed or public companies.
  • Experience with acquisition integration programs.
  • Experience with partnership structures, UP-C structures, or other complex corporate reorganizations.
  • Energy, infrastructure, industrial, construction, engineering, or related industry experience.
  • Familiarity with SEC reporting, public company governance, and capital markets matters.
  • Demonstrated experience managing substantial outside counsel relationships and spend

 

Salary Range: $250,000 - $270,000
