Job Description

Duo Health is seeking a Deputy General Counsel & Deputy Compliance Officer to help shape and execute Duo Health’s legal strategy, strengthen Duo’s compliance framework, and proactively identify and mitigate business and regulatory risks across the organization. This role will partner with executive and senior leadership across the organization to provide strategic legal advicecounsel and support on a wide range of matters including corporate governance, regulatory compliance, employment law, contracts, and risk management. 

Essential Duties and Responsibilities

Legal & Regulatory Leadership 

  • Summarize important legal and regulatory issues on an annual basis that may affect Duo Health 

  • Identify legal and regulatory issues impacting the organization and provide proactive and strategic counsel to executive and senior leadership on complex legal and regulatory matters and risk mitigation and regulatory compliance strategies. 

  • Lead and oversee negotiation of complex commercial agreements, including payer/provider agreements, strategic partnerships, vendor agreements, technology agreements, and other healthcare-related contracts. 

  • Provide legal oversight for contract strategy, risk allocation, and business terms. 

  • Serve as a subject matter expert and trusted resource on all federal and state laws impacting the organization, including HIPAA and federal and state privacy laws, and continually monitor regulatory and legislative activity within this space. 

  • Support board and committee activities, including preparation of materials and compliance with governance requirements as applicable. 

  • Advise on employee relations, workplace policies, and employment disputes. 

  • Manage litigation matters, including coordination with outside counsel. 

  • Manage outside counsel relationships as needed. 

Compliance, Risk Management & Business Partnership 

  • Develop, implement and maintain a comprehensive compliance program that defines, develops, maintains and implements policies and processes enabling consistent, effective compliance practices which minimize risk across the organization. 

  • Establish, oversee and administer annual compliance training within the Company, including refreshing such training as necessary. 

  • Reviews the OIG’s work plan, provides aquaterlyn annual updates as needed to organizational leadership regarding the workplan and updates the Duo Health compliance program to be consistent with the workplan. 

  • Partner with executive leadership to foster a culture of compliance awareness through ensuring alignment between the Company’s security, privacy and compliance programs, including development of, and measuring adherence to, internal policies and practices. 

  • Perform continual information privacy risk assessments, mitigation and remediation. 

  • Manage all required privacy breach determination and notification processes under HIPAA and/or applicable State regulations and requirements, including performing risk assessments for actual privacy breaches. 

  • Collaborate with the organization’s Medical Records department to oversee patient rights to inspect, amend, and restrict access to protected health information when appropriate. 

  • Lead compliance monitoring, audits, investigations, corrective action plans, and risk assessments. 

  • Support internal audits as related to compliance work, investigations, issue resolution, and risk mitigation activities as needed. 

  • Provide guidance and education to employees on compliance expectations and business practices. 

  • Foster a culture of integrity, accountability, and ethical decision-making across the organization. 

  • Own and manage the vendor intake process, serving as the central point of contact for new vendor requests, due diligence, risk assessments, and legal/compliance review.  

  • Maintain visibility into vendor agreements, renewals, obligations, and associated risks to support effective vendor governance. 

People & HR Partnership 

  • Partner with HR leadership on employee relations, employment law matters, and workplace policies. 

  • Provide guidance on employment practices, investigations, and risk mitigation. 

  • Support the development of scalable HR processes, policies, and practices as the organization grows. 

  • Ensure alignment between legal, compliance, and people practices. 

Requirements 

  • J.D. degree from an accredited law school. 

  • Active license to practice law in at least one U.S. jurisdiction. 

  • 8+ years of legal experience, with significant experience in healthcare, healthcare technology, life sciences, or another highly regulated industry. 

  • Experience reviewing and negotiating commercial agreements. 

  • Strong understanding of healthcare regulatory requirements and compliance principles. 

  • Excellent written and verbal communication skills with the ability to translate legal concepts into practical business guidance. 

  • Strong experience supporting healthcare providers, healthcare technology companies, and/or value-based care organizations. 

  • Strong knowledge of federal and state privacy and compliance regulations, including HIPAA; Strong knowledge of federal and state healthcare-based laws and regulations. 

  • Strong technical expertise in interpreting applicable regulations and implementing guidance based on such interpretations in a corporate environment. 

  • Experience supporting HR, employee relations, or people operations highly preferred. 

  • Detail-oriented with strong analytical and problem-solving skills. 

  • Ability to organize priority of work throughout the day and be flexible in a results-driven, fast-paced, growth oriented, emerging company. 

  • Ability to self-direct and work independently while consistently showing self-initiative.  

  • Strong relationship management and interpersonal skills, including optimism, diplomacy, responsiveness, and authenticity.   

  • Certification in Healthcare Compliance (CHC) or Certification in Healthcare Privacy Compliance (CHPC) preferred
