Counsel, Contracts & Compliance

Position Overview

This is a global role. Reporting to the Chief Operating Officer (COO), the Counsel, Contracts & Compliance serves as a core legal resource supporting IP House’s commercial contracting, regulatory compliance, and legal operations functions worldwide, working alongside the Counsel, IP Litigation & Enforcement and the wider legal team.

The role offers an excellent opportunity for an early-career lawyer to gain hands-on experience supporting a high-growth, global organization, with a focus on commercial contracts, legal compliance, and internal governance. In a given week, Counsel may negotiate a client MSA or vendor agreement, help refine a compliance training module, support a proposal or RFP response, and liaise with external counsel in the US, UK, or another jurisdiction. The role works cross-functionally with Client Success, Client Solutions, Operations, and Finance teams to ensure operational integrity and mitigate legal risk, and suits a detail-oriented self-starter who is commercially minded, highly organized, and comfortable operating in a fast-paced, global environment.

Key Responsibilities

Commercial Contracts

•     Draft, review, and negotiate a wide range of commercial contracts, including client master service agreements (MSAs), Statements of Work (SOWs), vendor and partnership agreements, NDAs, and licensing and procurement agreements.

•     Own contract lifecycle management, including tracking key terms, obligations, deadlines, and renewals across the contract portfolio.

•     Support the proposal and RFP process with timely input on contractual terms and risk-related matters.

Compliance & Legal Risk

•     Assist with the implementation and monitoring of internal policies on data privacy, anti-bribery, competition, and third-party risk.

•     Conduct periodic audits and reviews to support compliance with global standards, including GDPR, CCPA, the UK Bribery Act, and the FCPA.

•     Develop, refine, and deliver internal training materials and compliance documentation for the business.

Legal Operations & Governance

•     Conduct legal research and provide support on ad hoc matters, including corporate filings and IP-related issues.

•     Liaise with external counsel in the US, UK, and other jurisdictions on compliance and contract-related matters.

•     Maintain and organize legal templates, playbooks, and knowledge management tools, and help drive adoption of legal AI tools to improve turnaround times and consistency across the team.

•     Partner with the COO and the Counsel, IP Litigation & Enforcement to help execute and enforce IP House’s legal compliance requirements and standards across the business.

Qualifications

Required

•     Juris Doctor (JD) with admission to a United States bar, or a UK law degree (LLB) with completion of the solicitor (or barrister) qualification and admission or entitlement to practice in England & Wales or another UK jurisdiction.

•     2+ years of post-qualification experience (PQE) gained in a law firm or in-house legal environment.

•     Strong drafting and negotiation skills, particularly in commercial agreements.

•     Familiarity with regulatory compliance topics such as data privacy, anti-bribery, or competition law.

•     Experience in legal research, project coordination, and cross-functional collaboration.

•     Based in, and holding the unrestricted right to work in, the United States or the United Kingdom.

•     Excellent written and verbal communication skills, a commercially savvy and risk-aware mindset, and strong attention to detail in a fast-paced, dynamic global environment.

Highly Desired

•     Experience using legal AI tools to improve efficiency, consistency, and turnaround time.

•     Experience working with contracts in the IP enforcement or content and brand protection industry.

Desired

•     Additional language capability beyond English.

•     Prior experience in a fast-paced, multi-jurisdictional services environment.

Location, Travel & Working Pattern

This role is open to candidates based anywhere in the United States or the United Kingdom, working fully remotely or on a hybrid basis from one of our offices, depending on location. Some flexibility in working hours is expected to accommodate colleagues and clients in other time zones. Occasional domestic or international travel may be required.

Compensation

Salary Range:  $100,000–$125,000 USD per year (United States) or £65,000–£75,000 GBP per year (United Kingdom), plus bonus

Classification:  Full-time, permanent (exempt where applicable)

Base salary is dependent on the successful candidate’s qualifications and experience, and is benchmarked to the market in which they are based. Base salary and bonus are supplemented by a comprehensive local benefits package.
