Job Description

ASI Government is seeking an experienced Government Contracts professional to serve as the company's primary advisor on federal contract and subcontract matters. This role will lead the development, negotiation, review, and administration of government contracts, subcontracts, teaming agreements, nondisclosure agreements, strategic partnering agreements, and other commercial and federal agreements. The ideal candidate will have significant experience as a Government Contracts Attorney or senior government contracts professional, possess a strong understanding of the FAR, DFARS, non-traditional awards, and other federal procurement regulations, and be comfortable interfacing directly with government contracting officers, prime contractors, subcontractors, executive leadership, and outside counsel.

This is a highly visible position responsible for protecting ASI's legal and business interests while enabling growth and maintaining strong customer and industry relationships.

Key Responsibilities

  • Serve as the company's subject matter expert on federal government contracting, advising executives, program managers, and business development teams on contractual, legal, and regulatory matters.
  • Draft, review, negotiate, and finalize prime contracts, subcontracts, teaming agreements, NDAs, consulting agreements, strategic partnership agreements, and other business agreements.
  • Analyze contract terms and conditions, identify legal and business risks, and develop practical strategies that appropriately protect ASI while supporting business objectives.
  • Interface directly with Government Contracting Officers, Contract Specialists, program offices, prime contractors, subcontractors, and legal counsel regarding contractual matters.
  • Lead negotiations involving contract modifications, claims, equitable adjustments, subcontract disputes, intellectual property, data rights, indemnification, limitation of liability, and other complex contractual provisions.
  • Ensure compliance with FAR, DFARS, agency supplements, and applicable procurement laws and regulations.
  • Develop and maintain standard contract templates, negotiation playbooks, and internal policies.
  • Support proposal development by reviewing solicitations, identifying contractual risks, and recommending compliance strategies.
  • Coordinate with Finance, Program Management, Capture, and Executive Leadership throughout the contract lifecycle.
  • Monitor regulatory changes and provide guidance on emerging government contracting requirements.

Required Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction (active or eligible to serve as in-house counsel).
  • 8–12+ years of experience in federal government contracts, including significant experience serving as a Government Contracts Attorney or senior government contracts professional.
  • Extensive knowledge of FAR, DFARS, agency supplements, contract formation, bid protests, claims, subcontracting, intellectual property, and federal procurement regulations.
  • Demonstrated experience negotiating complex government contracts and commercial agreements.
  • Strong ability to communicate and negotiate effectively with government officials, subcontractors, teaming partners, executives, and outside counsel.
  • Excellent drafting, analytical, and legal writing skills.
  • Ability to balance legal risk with practical business objectives.

Preferred Qualifications

  • Experience supporting a small or mid-sized federal government contractor.
  • Experience with OTAs, SBIR/STTR, GSA Multiple Award Schedules, IDIQ contracts, and major defense or civilian agency contracting.
  • Experience supporting mergers, acquisitions, joint ventures, mentor-protégé arrangements, and strategic alliances.
  • Familiarity with Deltek Costpoint or similar enterprise systems.
