Job Description

We are seeking an experienced Commercial Lawyer, providing strategic and commercially focused legal advice across a broad range of commercial and corporate matters. The successful candidate will have extensive experience advising Australian businesses on complex commercial transactions, contract negotiations, corporate governance, and regulatory compliance.

This role is suited to a commercially astute lawyer who thrives in a client-facing environment and can confidently manage complex legal matters with minimal supervision. The ideal candidate will possess exceptional legal drafting skills, sound commercial judgment, and the ability to build trusted relationships with clients and stakeholders.

Responsibilities

• Draft, review, negotiate, and advise on a broad range of commercial agreements, including service agreements, supply agreements, shareholder agreements, joint venture agreements, SaaS agreements, licensing agreements, distribution agreements, confidentiality agreements, and terms and conditions.

• Provide strategic legal advice to Australian businesses on commercial, corporate, and contractual matters.

• Advise clients on corporate governance, regulatory compliance, and commercial risk management.

• Support mergers and acquisitions, business sales, restructures, and other corporate transactions.

• Conduct legal due diligence and prepare legal reports and advice.

• Identify legal risks and provide commercially pragmatic solutions to support business objectives.

• Draft legal opinions, correspondence, policies, and commercial documentation.

• Liaise with clients, external counsel, regulators, and other key stakeholders.

• Mentor junior lawyers and contribute to the development of legal precedents and internal knowledge resources.

• Manage multiple client matters while maintaining exceptional quality, efficiency, and client service.

Qualifications

• Bachelor of Laws (LLB/JD) or equivalent legal qualification.

• Must be admitted to practice law in Australia and hold a current Unrestricted Australian Practicing Certificate.

• Minimum of 7+ years' post-qualification experience (PQE) practicing commercial law in Australia.

• Demonstrated experience advising Australian businesses on a broad range of commercial and corporate legal matters.

• Extensive experience drafting, reviewing, and negotiating complex commercial contracts and transactions.

• Experience advising on mergers and acquisitions, corporate restructures, business sales, and commercial transactions.

• Excellent commercial acumen with exceptional analytical, negotiation, and problem-solving skills.

• Outstanding written and verbal communication skills.

• Proven ability to manage complex matters independently while maintaining strong client relationships.

• Experience mentoring junior lawyers is highly regarded.

• Ability to work independently in a fully remote environment.
