Senior Contracts Manager

The Lattice Legal team is looking for an experienced, business-minded Senior Contracts Manager to help lead our commercial contracting function. In this role, you will independently manage a broad portfolio of customer, vendor, partnership, and other commercial agreements while serving as a trusted adviser to teams across the company.

You will be expected to understand Lattice’s business, products, contracting standards, and risk framework well enough to resolve most matters independently, identify practical paths through difficult negotiations, and escalate issues with a clear assessment and recommendation. The right candidate combines strong contract judgment, operational discipline, commercial awareness, and fluency with modern legal technology and AI-assisted workflows.

This is a highly cross-functional role supporting Sales, Deal Desk, Procurement, Privacy, Security, Finance, Product, Partnerships, Marketing, and other business teams. Success requires balancing thoughtful risk management with a practical focus on customer experience, business velocity, and scalable operations.

What You Will Do

• Independently draft, review, negotiate, and manage a high volume of commercial agreements within Lattice’s contracting playbooks, approval framework, and risk tolerances.
• Lead negotiations involving SaaS order forms, terms of service, master services agreements, data processing agreements, service level agreements, amendments, renewals, trials, AI-related terms, termination agreements, and related customer documents.
• Review and negotiate vendor, supplier, and service-provider agreements, coordinating with Procurement, Privacy, Security, Finance, and business owners based on the services involved and the risks presented.
• Support technology partnerships, integrations, referral programs, sponsorships, events, speaker engagements, and other strategic or marketing relationships.
• Serve as a primary point of contact between Legal and business stakeholders, providing practical guidance on contract structure, risk allocation, negotiation strategy, approval requirements, and escalation paths.
• Exercise independent judgment to resolve matters within established parameters and promptly escalate material legal, financial, privacy, security, product, or operational risks with a concise analysis and recommended approach.
• Partner with Privacy, Security, Product, Finance, and other subject-matter experts to ensure contractual commitments are accurate, operationally feasible, properly approved, and tracked where appropriate.
• Manage numerous concurrent negotiations with strong prioritization, responsiveness, and ownership from intake through signature.
• Maintain accurate contract records, approvals, metadata, and final documentation across Ironclad, Salesforce, Zip, and related systems.
• Identify recurring negotiation patterns, operational friction, and emerging risks, and translate those observations into improvements to templates, playbooks, fallback positions, training, and self-service resources.
• Use approved AI and legal technology tools to accelerate contract review, compare proposed language against playbooks, identify issues, support drafting, summarize negotiations, and improve reporting and workflow efficiency.
• Help develop meaningful reporting on contract volume, cycle time, negotiation trends, escalations, and other indicators that can improve the contracting function and the broader business.
• Stay informed about developments affecting commercial contracting, SaaS businesses, data privacy, AI-enabled products, and contracting technology.

What You Will Bring to the Table

• Five or more years of relevant experience negotiating and managing commercial technology agreements, preferably in a high-growth SaaS or technology company. Equivalent combinations of legal, contracts, and business experience will be considered.
• Demonstrated ability to independently manage customer-facing SaaS negotiations, including master agreements, subscription terms, data processing agreements, service level agreements, and related commercial documents.
• Experience reviewing technology vendor and procurement agreements. 
• Strong commercial judgment and the ability to distinguish material risk from lower-value negotiating points.
• Ability to apply playbooks and policies thoughtfully, identify matters outside established parameters, and present escalation issues with practical recommendations.
• Working knowledge of common SaaS contracting issues, including intellectual property, confidentiality, data use, privacy, security, indemnification, limitations of liability, SLAs, warranties, renewals, and termination rights.
• Strong written and verbal communication skills, including the ability to explain complex contract issues clearly to business stakeholders and counterparties.
• Excellent organizational and project-management skills, with demonstrated success managing a large and changing portfolio of matters with limited supervision.
• A collaborative approach and a record of building trusted relationships across Sales, Deal Desk, Procurement, Finance, Privacy, Security, Product, and other functions.
• Meaningful experience using AI-assisted tools for contract review, drafting, analysis, knowledge management, or workflow automation, together with sound judgment regarding confidentiality, accuracy, and responsible use.
• Proficiency with Microsoft Word and experience with contract lifecycle management and procurement platforms.
• Experience with Ironclad, Salesforce, Zip, Google Workspace, Slack, and Excel is preferred.
• Experience working with international counterparties and modern privacy and AI regulatory frameworks is a plus.

The estimated annual cash salary for this role is $123,500 - $154,500. This position is also eligible for incentive stock options, subject to the terms of Lattice’s applicable plans.
