Position Overview:
The Government Contracts Counsel serves as Digital Infuzion, LLC’s principal attorney for federal Government contracting and provides dedicated legal support to the Director of Contracts and Contracts Management personnel. The role focuses on legal matters arising throughout the federal contracting lifecycle, including prime contracts, subcontracts, modifications, teaming and strategic-partnering arrangements, proposal matters, regulatory requirements, and contract-related risk. The position works closely with Contracts Management, Growth/Business Development, Technical Operations, Finance, and Corporate Counsel to provide practical, business-oriented legal guidance while enabling efficient contract execution and appropriate risk management.

Work Environment:
This position operates primarily in a professional office and remote-work environment and requires frequent interaction with internal personnel, customers, business partners, Government personnel and external advisors. The position may occasionally require travel or participation in meetings outside normal business hours based on business needs.

Responsibilities:

• Draft, review, analyze and negotiate agreements and instruments associated with the federal contracting lifecycle, including prime contracts, subcontracts and modifications, teaming agreements, nondisclosure agreements, consulting agreements, letters of authorization and related documents.
• Advise regarding federal Government contracting requirements, including the FAR, applicable agency supplements, and contractual requirements applicable to Company prime contracts and subcontracts.
• Analyze Government contract modifications, new or revised regulatory clauses and developments, and advise regarding their effect on existing contracts, subcontracts and required flow-downs.
• Provide the Contracts Management team with legal interpretation, negotiation support, regulatory guidance and escalation support for complex, sensitive or non-routine matters.
• Lead or support subcontract negotiations and other contract negotiations requiring legal judgment, including review of risk allocation, indemnification, limitation of liability, intellectual property, data rights, confidentiality, compliance and other material legal terms.
• In collaboration with the Director of Contracts, communicate with Government Contracting Officers and other Government personnel regarding contractual and legal matters when appropriate and coordinate those communications with program personnel.
• Provide legal support for proposal and business-development activities, including teaming, workshare provisions, intellectual property and data rights issues, and other proposal-related legal risks.
• Advise regarding federal small-business and strategic-partnering matters, including teaming arrangements, joint ventures, mentor-protege relationships and related SBA requirements.
• Provide legal support on significant prime-contract and subcontract matters when an issue presents heightened legal or business risk.
• Partner with Corporate Counsel on matters that extend beyond Government contracting or implicate broader enterprise legal issues, including employment, privacy, cybersecurity, corporate governance, insurance, disputes and other specialized areas.
• Interact with Government personnel, customers, prime contractors, subcontractors, teaming partners, vendors, consultants and outside attorneys.
• Identify opportunities to improve contracting processes, templates, playbooks, tools, documentation, controls and escalation procedures in collaboration with the Director of Contracts.
• Identify opportunities to responsibly apply AI, automation, and other technologies to contract review, legal research, drafting, knowledge management, and contracting workflows.

Competencies and Traits:

• Excellent contract drafting, review and negotiation skills, with particular strength in federal Government contracting.
• Strong knowledge of the FAR, federal procurement requirements, flow-down obligations and Government-contract risk allocation.

• Ability to communicate complex legal and regulatory requirements clearly to contracts professionals and other non-lawyers.

Minimum Qualifications:

• Juris Doctor (J.D.) degree from an accredited law school.
• Active membership in good standing in at least one U.S. state bar.
• Substantial relevant legal experience in business and contracting law, with meaningful experience (five years) involving federal Government contracting.
• Prior in-house legal experience with a federal Government contractor
• Significant experience drafting, reviewing and negotiating subcontracts and other business agreements.
• Demonstrated knowledge of the FAR and federal procurement requirements.
• Experience advising on federal small-business programs, teaming arrangements, joint ventures and mentor-protege relationships 
• Experience with intellectual property and data-rights issues in Government contracting.
• Strong written, oral, analytical and negotiation skills.

Preferred Qualifications: 

• Experience with HHS/NIH contracting, health IT, clinical research, life sciences or other regulated technology environments.
• Experience evaluating and responsibly using AI-enabled and emerging technologies to enhance legal research, contract review, drafting, and analysis, while validating outputs and maintaining confidentiality, accuracy, professional judgment, and accountability.
• Familiarity with the legal, ethical, privacy, cybersecurity, intellectual-property, and data-governance considerations associated with acquiring or deploying AI solutions in the public sector.
