The Director, Assistant General Counsel – Go To Market is responsible for legal support of all phases of the commercialization process within Omnicell. This player-coach role will be a highly collaborative business partner to Omnicell’s Product, Innovation, Partnerships and Ecosystem teams with primary responsibility for: (i) identifying and mitigating risk associated with commercialization of new and enhanced solutions; (ii) negotiating ecosystem agreements that contribute to the company’s commercial offerings; (iii) developing customer-facing terms to support new and enhanced commercial offerings; (iv) working collaboratively with stakeholders across the organization as part of internal due diligence for bringing new solutions to market; and (v) build scalable processes, governance models, playbooks, templates and contractual frameworks to support the go-to-market lifecycle. This role will work closely with privacy/data governance/AI, information security, product management, innovation, partnerships, operations, finance, quality, regulatory and compliance. This is a US-based role. 

 Responsibilities:

  • Serve as a highly collaborative business partner to Omnicell’s Product, Innovation, Partnerships and Ecosystem teams to identify and mitigate risk associated with product lifecycle and commercialization activities.
  • Negotiate and review contracts for ecosystem partners (e.g., reseller, software licensing, etc.). 
  • Support the development of new and enhanced solutions, including through the development of customer-facing terms. 
  • Work in a highly collaborative manner with a multitude of stakeholders across the organization as part of due diligence. 
  • Work collaboratively with outside counsel to establish a regular cadence of IP review as needed to support commercialization activities. 
  • Prepare Omnicell’s commercial attorneys to support new and enhanced solutions through training, knowledge transfer and other means.   
  • Convert novel commercialization activities into repeatable approaches that can be leveraged across the organization. 
  • Coordinate workflow, manage resources, and maximize the output of the team by channeling work to appropriate persons, standardizing processes, and leveraging technology solutions.
  • Develop, motivate, and provide strategic leadership to attorneys and legal professionals.

 

Required Knowledge & Skills:

  • Ability to lead cross-functional teams, and be persuasive up, down, and across the organization
  • Proven ability to apply systems thinking, design scalable processes, and lead organizational change initiatives
  • Demonstrated courage to do what is right, champion good ideas, make tough decisions, and take unpopular stances if required

 

Basic Qualifications:

  • J.D.; member in good standing of a state Bar
  • 10+ years of experience supporting product lifecycle and/or commercialization activities in a technology environment 
  • 10+ years of experience drafting, reviewing, and negotiating complex commercial contracts 
  • 10+ years of experience collaborating with internal stakeholders in conjunction with commercial negotiations, product lifecycle and/or commercialization activities 
  • Strong working knowledge of HIPAA/HITECH and state level privacy laws and regulations 

 

Preferred Qualifications:

  • Previous experience with reseller agreements and the development of flow-down terms  
  • Previous experience supporting commercial transactions outside the United States 
  • Previous experience in highly regulated industry 
  • Previous experience in a publicly traded company 

 Work Conditions:

  • Remote (U.S. based) 
  • Flexibility in working hours as needed
  • Travel up to 10% (primarily quarterly stakeholder meeting or legal team meetings)
