The Associate General Counsel will provide legal support for ad tech integration, data licensing, and product offerings while negotiating complex commercial agreements. They will also implement privacy workflows and advise cross-functional teams on compliance and risk mitigation strategies.
About the role
Swoop’s legal team is in search of a candidate to fill the role of Associate General Counsel, Lead Privacy and Product Counsel for Swoop. The role will be tasked with navigating the complex legal and regulatory landscape associated with the company’s innovative and evolving business. The individual will exhibit initiative, adaptability, analytical acumen, and steadfast commitment to excellence in client service.
The role requires a comprehensive understanding of U.S. state and federal privacy laws and compliance activities, coupled with expertise in advertising technology, complex data and software transactions, and the media buying industry. The position, reporting to the General Counsel & Chief Privacy Officer, is designed for a legal professional poised to embrace new challenges and contribute meaningfully to our organization’s growth and success.
What you'll do
Support and advise on commercial legal matters with a focus on ad tech integration, third-party data licensing and sales, technology products and service offerings, digital media, and privacy matters.
Draft and negotiate complex client and vendor commercial agreements (e.g., master services agreements, statements of work, NDAs, insertion orders, rebate agreements, service and consulting agreements, data and software licensing, etc.).
Independently conduct and conclude negotiations with data and technology providers, as well as key players in the advertising and ad tech ecosystem, including large platforms, publishers, and ad tech providers.
Proactively manage legal requests as the first point of contact for Swoop-wide legal matters, and coordinate with lead counsel for Swoop’s affiliates to ensure cohesive approach and implementation of legal and business goals.
Implement legal and privacy workflow processes, create legal and compliance templates, and provide support and training to the sales and product teams you support, as well as other key stakeholders.
Advise teams across the company on privacy, data use and licensing, and compliance matters, while mitigating legal risks in the commercial context and working closely with cross-functional teams across the business.
Liaise with internal teams and senior leaders to provide strategic legal guidance and support. Facilitate communication across departments to ensure alignment with legal requirements and business objectives, fostering a collaborative environment that promotes informed decision-making and risk mitigation.
Handle other project-based work within the legal department on an as-needed basis.
Qualifications
A JD from an accredited law school and a license to practice law in at least one state — preferably the State of California, the State of New York, or the Commonwealth of Massachusetts
6+ years’ relevant work experience in a law firm or in-house setting — in-house experience at an advertising/marketing/PR agency, digital media agency, or technology company a plus
Experience with U.S. state and federal privacy laws and compliance, SaaS product licensing, third-party data licensing, and product sales agreements
Conversational acumen across broad business functions including marketing, finance, and analytics/data science preferred
Experience with HIPAA/HITECH preferred
Experience with intellectual property matters, including licensing matters
Experience with global data and privacy matters a plus
