This role will be remote and reports to the Director of Marketing and Client Management. 

Position Summary  

Will support firm initiatives related to client contracts administration and client due diligence assessment requests. This role will focus primarily on processes related to agreements and outside counsel guideline review, maintaining contract records, onboarding vendor requests, and preparing responses to client due diligence questionnaires. 

Key Responsibilities 

  • Assist the General Counsel with contract review and negotiation:  

  • Work closely with the firm’s General Counsel, firm management, administrative department leaders, and internal and external stakeholders on firm projects and initiatives 

  • Review new and existing contracts and outside counsel guidelines, identify potential issues as they relate to standard provisions, such as client representation, indemnification, insurance requirements, billing terms, audit requirements, etc. 

  • Streamline pertinent sections to appropriate internal departments 

  • Consult with General Counsel regarding approved negotiation language 

  • Prepare exceptions/redline document to include with reviewed contract for execution 

  • Manage client contracts: 

  • Track and store contracts and outside counsel guidelines 

  • Assist in the review and implementation of new software tools as they pertain contract management 

  • Regularly audit files to capture missing contracts; follow up with stakeholders as needed 

  • Complete Third-Party Vendor requests:          

  • Assist billing department with vendor onboarding requests related to due diligence matters 

  • Review and complete outside counsel compliance surveys and due diligence assessments 

  • Coordinate with colleagues to ensure continuity of due diligence and sustainability responses 

  • Assume additional responsibilities as requested at the direction of the General Counsel’s office  

  • Assists with departmental projects and other responsibilities as assigned.

Education & Prior Experience 

  • Bachelor’s degree required. 

  • Master’s degree and/or 5+ years of law firm experience in same or compliance role required 

  • Working knowledge of contract review and risk management assessments 

Technology 

  • Proficiency with Windows-based software and Microsoft Word, PowerPoint, Excel and Outlook required. 

  • Knowledge and experience in a website content management system, with a preference for Sitecore. 

  • Familiarity with or willingness to learn mass mail software, with a preference for Concep. 

  • Understanding of AI capabilities, limitations, and responsible use in a professional environment. 

  • Familiarity with, or willingness to learn, firm-approved AI tools (e.g., Copilot, ChatGPT, or similar platforms) to support daily workflow and/or improve work quality.
