Main purpose of the role:
Advise on a wide range of DCM transactions, including bond issuances, medium-term note programmes, structured debt products, and regulatory-related documentation.
Support ECM transactions including IPOs, secondary offerings, rights issues, equity-linked products, and related capital raisings.
Provide legal advice on public and private M&A transactions, joint ventures, strategic investments, and corporate restructurings.
Draft, review and negotiate transaction documentation, including underwriting agreements, subscription agreements, shareholder agreements, disclosure documentation and ancillary transactional documents.
Liaise with internal stakeholders, business teams, compliance, risk and external counsel to ensure efficient transaction execution.
Advise on applicable regulatory, corporate governance and disclosure requirements.
Manage multiple transactions simultaneously while providing practical, commercial and risk-based legal advice.
Monitor relevant legal and regulatory developments impacting capital markets and M&A activities.
Person specification:
Minimum 10 years' PQE gained from a leading international law firm and/or in-house legal team within a financial institution.
Strong experience across DCM, ECM and M&A transactions.
Familiarity with Singapore and broader APAC capital markets regulatory frameworks is highly desirable.
Excellent drafting, negotiation and stakeholder management skills.
Commercially minded with the ability to deliver pragmatic legal solutions in a fast-paced environment.
