Job Description

We are seeking a Senior Legal Counsel – Supply Chain / Procurement to act as a business-facing legal partner across North America, supporting operations, procurement, and supply chain activities.
You will partner closely with procurement and operations teams to manage vendor relationships, operational risk, and complex contracting frameworks.

Key Responsibilities May Include:

  • Provide reliable, cost-effective, and timely legal counsel to business units across a wide array of matters affecting the region and the global corporation.
  • Advise on and negotiate commercial transactions, contracts, and agreements with key customers, vendors, and service providers, ensuring alignment with business goals and legal standards.
  • Offer strategic legal guidance on major transactions, including mergers and acquisitions (M&A), with a focus on identifying risks and conducting necessary due diligence.
  • Manage day-to-day legal issues for business operations, including matters related to plant operations, logistics, asset management, and real estate (e.g., leases, property agreements).
  • Anticipate, mitigate, and manage legal risks by providing proactive legal strategies and monitoring emerging legal trends that may impact the business.
  • Lead the company’s litigation strategy, manage disputes, and handle intellectual property rights issues, leveraging external counsel when necessary.
  • Support the development of company policy, operational improvements, and procedural enhancements by providing legal insights on regulatory compliance and business operations.
  • Research and monitor evolving legal issues, using external counsel where needed, to provide pragmatic, business-oriented legal advice to senior leadership.

Position Purpose

The Senior Legal Counsel, Supply Chain, Procurement & Operations serves as the lead legal business partner for Procurement, Supply Chain, Logistics, Operations, Real Estate, and other designated operational business teams across North America.  This role provides pragmatic, business-focused legal advice on procurement, direct and indirect sourcing, real estate, supplier disputes, vendor diligence, NDAs, and strategic projects across the U.S. and Canada.

Location:

This is a remote, U.S.-based individual contributor role with a preference for candidates in the Eastern or Central U.S. (including Texas).

Major/Key Accountabilities

  • Serve as primary legal advisor to Procurement, Supply Chain, Logistics, Operations, Real Estate, and other designated operational business teams.

  • Draft, review, negotiate, and advise on procurement agreements, master services agreements, transportation and 3PL agreements, warehousing arrangements, real estate documents, equipment- or service-related vendor agreements, and related amendments and statements of work.

  • Provide legal support for vendor disputes, operational escalations, service failures, and other pre-litigation issues arising in the supply chain or procurement context.

  • Support strategic transformation initiatives involving third parties, operating model redesign, network transformation, and related operational change programs.

  • Develop and maintain supply-chain and procurement templates, playbooks, and approval structures to increase use of company paper, improve consistency of terms, and reduce lawyer time per contract.

  • Partner with business teams on practical risk allocation issues involving continuity of supply, service levels, indemnities, insurance, pricing, and remedy structures.

  • Work closely with legal operations and stakeholders to streamline intake, triage, and contracting processes for recurring vendor work.

  • Escalate significant legal, operational, financial, or enterprise-risk matters to the General Counsel as appropriate.

  • Business acumen as applied to supply chain contracting and disputes.

  • Strong work ethic, coupled with superior multi-tasking capabilities.

  • Knowledge of procurement contracting and dispute resolution practices is essential.

  • Must be a team player, and highly approachable.

  • Strong interpersonal, presentational and networking skills

  • Strong analytical and technical legal skills – including drafting, negotiating, risk mitigation and problem resolution

  • Must be able to work autonomously

Essential Qualifications

  • J.D. and active bar membership in at least one U.S. jurisdiction or Canada jurisdiction

  • Bachelor's Degree and qualification from an accredited law school

  • Significant in-house and law firm experience handling procurement, logistics, commercial operations, real estate and/or supply-chain transactions

  • Strong contract drafting, negotiation, and issue-spotting abilities in operationally complex environments.

  • Experience supporting fast-paced operating environments, preferably in industrial, distribution, logistics, fleet, transportation, or equipment-based business preferred.

  • Strong judgment, executive presence, and ability to work cross-functionally with non-legal stakeholders

  • Strong cross-functional partnership skills and the ability to advise business teams in a practical, solution-oriented manner.

Desirable Qualifications

  • Experience in creating or improving process and automation for the efficient and effective delivery of legal services

  • Experience working with digital technology such as AI tools and systems to support the efficient and effective delivery of legal services

  • Experience working in a global company

  • Experience in matrixed environments

  • At least 8+ years post qualification experience
