M&A Lawyer (US Experience)

Job Description:

We are looking for an experienced M&A & Transactional Lawyer to support a U.S.-based client across mergers and acquisitions, corporate transactions, contract drafting and review, due diligence, and ongoing deal support.

The ideal candidate will be a mid-to-senior-level lawyer with strong transactional experience and the ability to independently manage substantive legal work in a remote environment. Previous experience handling transactional matters within the U.S. legal market is strongly preferred and will be given significant consideration, although highly capable candidates with relevant transactional experience in other jurisdictions will also be considered.

Responsibilities:

• Draft, review, revise, and negotiate commercial and transactional agreements.

• Support mergers, acquisitions, and other corporate transactions throughout the deal lifecycle.

• Conduct and coordinate legal due diligence, including reviewing corporate records, material contracts, and transaction-related documentation.

• Identify and communicate legal, contractual, and transactional risks arising during due diligence and document review.

• Prepare and review transaction documents, ancillary agreements, disclosure materials, closing documents, and related corporate documentation.

• Assist with transaction closings, including document organization, execution tracking, and closing checklists.

• Conduct legal research relating to corporate, commercial, and transactional matters as required.

• Work independently while communicating effectively with the client and other legal professionals throughout transactions.

• Manage multiple matters and deadlines while maintaining a high degree of accuracy and attention to detail.

Qualifications:

• Undergraduate degree in Law and appropriate legal qualification in the candidate's jurisdiction.

• Mid-to-senior-level professional experience in M&A, corporate transactions, or commercial transactional law.

• Demonstrated experience with contract drafting and review, legal due diligence, and transaction/deal support.

• Professional experience supporting U.S. M&A or transactional matters is strongly preferred.

• Strong understanding of corporate and commercial transaction processes and documentation.

• Excellent legal drafting, analytical, contract review, and problem-solving skills.

• Ability to identify material legal and commercial issues within transaction documents.

• Strong organizational skills and the ability to manage competing priorities and transaction deadlines.

• Excellent written and verbal English communication skills.

• Ability to work independently in a remote setting and collaborate effectively with remote teams.

• Availability to work with a client operating on U.S. Central Time.
