About the Role:

We’re looking for a skilled, business-minded Commercial Counsel Associate to join our commercial contracts team. You’ll draft, review, and negotiate a high-volume caseload of technology and commercial agreements, working end to end with the support of our AI-native workflows and senior attorneys. This is a technology-industry-focused practice, and we want someone who’s genuinely excited to be in it.

Think of it as a transactions-heavy role with immediate impact: you’re not just executing precedent—you’re learning to spot the risks that matter, move deals forward efficiently, and build real judgment under the guidance of experienced counsel. We’re just as interested in strong drafters from other practice areas who want to retool into commercial and technology contracts as we are in candidates who’ve done this work before. This is a high-growth role with a clear path to more ownership and responsibility as your track record builds.

What You'll Do:

  • Contract Drafting & Negotiation
    • Draft, review, and negotiate a high-volume of technology and commercial agreements, including SaaS, vendor, licensing, and partnership agreements.
    • Identify the risks that actually matter in a negotiation, and know which points are worth pushing on—and which aren’t.
    • Take on increasing ownership of matters end to end, from intake through execution, as you build track record.
  • AI-Enabled Practice
    • Use the firm’s AI legal technology daily to speed up drafting, review, and issue-spotting without sacrificing quality.
    • Bring a genuine interest in how AI and technology can change legal practice—this isn’t a tool you tolerate, it’s one you want to get better at using.
    • Contribute ideas for improving how the team uses AI and other tools in its day-to-day workflows.
  • Client & Stakeholder Communication
    • Advise clients directly on commercial risk and contract strategy, communicating clearly and with appropriate urgency.
    • Translate legal and commercial complexity into plain-language guidance for business stakeholders.
    • Build trusted relationships with clients across the technology industry.
  • Growth and Development
    • Receive structured mentorship and training from senior counsel—especially valuable if you’re retooling from a different drafting-heavy practice area.
    • Take on increasing complexity and autonomy over time, with a clear path toward more senior commercial counsel work.
    • Identify process improvements, product gaps, and emerging opportunities, and surface them to firm leadership.

What We're Looking For:

Background & Experience

  • JD. from an accredited law school with active bar membership in good standing.
  • 3+ years of experience in commercial contracts, technology transactions, or another drafting-heavy practice area.
  • Law firm experience preferred, but we’re open on background—including in-house, legal tech, or associates from other drafting-heavy practices (e.g., real estate, finance) who are interested in retooling into commercial and technology contracts. We’ll train the right candidate.
  • Genuine interest in the technology industry, or better yet, exposure to it already—and using AI and technology as part of your own practice, is a must.
  • Comfortable moving quickly without sacrificing quality; you know how to separate real risk from noise.
  • Strong written and verbal communication skills; comfortable advising business stakeholders directly.
  • Self-directed with strong collaborative instincts—you know when to loop in senior counsel.

  • You’ve helped build or improve legal workflows, contracting processes, or procedural frameworks—or you’re excited to start.

The Structure

This is a remote-first role with annual in-person on-sites for team collaboration, planning, and the occasional celebration. We take the on-sites seriously, and otherwise trust you to do your best work from wherever you do your best work.

Compensation & Benefits

  • Base Salary: $150,000 - $210,000 per year, commensurate with experience
  • Health & dental insurance fully covered, with partial subsidies for dependents.
  • 401(k) with 5% employer match.
  • Training and development stipend, plus structured mentorship and a defined path for growth into more senior commercial counsel work.
