Opportunity

The Sr M&A Analyst drives financial transactions, builds sophisticated valuation models, and coordinates cross-functional deal execution teams across mergers and acquisitions, divestitures, venture investments, and other strategic transactions.

Working closely with senior business leaders, functional experts, external advisors, attorneys, potential buyers, sellers, founders, and financing partners, this individual provides rigorous financial and strategic analysis throughout the transaction lifecycle. The role requires strong judgment, technical excellence, attention to detail, and the ability to manage multiple high-priority workstreams in a fast-paced environment.

Specific Responsibilities

Deal Execution

  • Drive complex transactions, including mergers and acquisitions, divestitures, venture investments, financing activities, and other strategic transactions.
  • Support live deal execution by coordinating due diligence processes, transaction workplans, internal approvals, meetings, and communications among internal and external parties.
  • Organize and participate in deal and non-deal meetings, and liaise with investment banks, founders, potential buyers and sellers, attorneys, consultants, and other transaction parties.
  • Manage execution timelines, deliverables, dependencies, and follow-ups to maintain momentum across concurrent transaction workstreams.

Financial Analysis & Valuation

  • Perform comprehensive financial analyses, including pro forma merger scenarios, public listing and financing alternatives, discounted cash flow, sum-of-the-parts, comparable company, precedent transaction, leveraged buyout, and merger analyses.
  • Analyze accounting and regulatory statements, debt and equity filings, transaction documents, financial projections, operating models, and other financial information to provide sound financial and economic advice.
  • Build, review, and maintain detailed financial models, valuation analyses, transaction scenarios, benchmarking materials, and decision-support outputs.

Due Diligence & Transaction Documentation

  • Lead or coordinate due diligence workstreams and support the negotiation and development of transaction documentation alongside attorneys, business leaders, and external advisors.
  • Liaise with senior business leaders and subject-matter experts across the company to evaluate market, product, customer, supply chain, operational, technical, legal, intellectual property, regulatory, human resources, tax, and other transaction considerations.
  • Synthesize diligence findings, identify key risks and opportunities, and support the development of practical mitigation plans and transaction recommendations.

Executive Advice & Cross-Functional Partnership

  • Prepare executive-ready presentations and reports explaining industry trends, company positioning, valuation, transaction considerations, and strategic alternatives for senior leadership and the Board of Directors.
  • Develop materials using industry research, financial analysis, mathematical models, and statistical techniques to support decisions related to strategic alternatives, capital markets activities, equity positioning, financing, and corporate governance.
  • Work cross-functionally with teams and working groups to execute projects, provide concise updates, surface decisions and risks, and offer well-supported financial and strategic advice.
  • Aid integration efforts and continuous deal monitoring for growth post close.

Skills/Requirements

  • Bachelor’s degree required, with a history of exceptional academic and professional achievement and a strong quantitative background.
  • Minimum of 3 years of experience in investment banking, private equity, transaction advisory, or an equivalent analytical field.
  • Experience with buy-side or sell-side M&A and equity or debt financing transactions required.
  • Experience with due diligence and transaction execution processes required.
  • Strong financial modeling skills required.
  • Financial valuation experience required, including knowledge of discounted cash flow, leveraged buyout, merger modeling, comparable company, and precedent transaction analyses.
  • Experience preparing and maintaining industry and company presentations, benchmarking materials, transaction process documents, and executive decision-support materials required.

  • Strong team orientation and demonstrated ability to work effectively with team members across multiple functions, groups, and regions.
  • Ability to build relationships with a wide range of stakeholders, act as a reliable point of contact, and communicate effectively with senior leaders and external advisors.
  • Excellent communication and presentation skills, exceptional work ethic, strong motivation, rigorous attention to detail, personal integrity, initiative, and demonstrated leadership qualities.

This means you’ll have access to your applicable benefit programs from your first day on the job, with no waiting period. The salary range for this position is $103,900 - $160,000. The specific salary offered to a candidate may be influenced by a variety of factors including the candidate’s experience, their education, and the work location. In addition, this position is eligible for a performance bonus/variable incentive compensation.
