Lead Equity Program Manager

Overview

This role is responsible for leading the end-to-end administration, governance, and strategic evolution of the company’s Management Equity Program (MEP). The Lead Equity Program Manager serves as the central owner of equity compensation operations, partnering with senior leadership, private equity sponsors, and external vendors to ensure accuracy, compliance, and clear communication of equity value. The role operates with a high degree of autonomy and is critical to scaling equity programs in a private equity environment. 

Responsibilities

Equity Program Administration (30%)

• Own full lifecycle of equity programs including grant planning, allocation modeling, issuance, and ongoing administration.
• Ensure accuracy, consistency, and alignment with private equity sponsor expectations.
• Drive timely, error-free execution of all grant-related activities.

Vendor Management & System Oversight (15%)

• Serve as primary relationship owner for Equity Shift.
• Oversee system configuration, data integrity, reporting outputs, and service delivery.
• Establish and monitor SLAs and performance standards.

Equity Agreements & Governance (15%)

• Lead development, tracking, and governance of all equity documentation.
• Maintain centralized repository with strong version control and audit readiness.
• Ensure consistency across grant documentation and amendments.

Legal & Compliance Coordination (10%)

• Partner with external legal counsel on plan interpretation and documentation.
• Ensure compliance with plan rules, regulatory requirements, and equity practices.
• Support executive compensation governance, including documentation, approvals, and audit readiness.

Executive & Sponsor Engagement (15%)

• Translate complex equity and executive compensation concepts (e.g., vesting, MOIC, pay mix) into clear, actionable insights.
• Partner with executives and sponsors on equity strategy and executive compensation decisions.
• Develop executive-ready materials, including scenario analysis, grant recommendations, and value narratives.

Executive Compensation & Long-Term Incentive Strategy (15%)

• Support design and evolution of executive compensation programs, including equity and performance-based LTI.
• Lead executive compensation modeling (e.g., dilution, MOIC outcomes, grant sizing, payout scenarios).
• Prepare Compensation Committee and Board materials, including analysis, benchmarking, and presentations.

Key Deliverables

• 100% accurate and timely issuance of equity grants.
• Centralized governance framework and documentation repository.
• Standardized reporting (grant status, vesting, scenarios).
• Improved vendor performance and SLA adherence.
• Executive-ready communication materials explaining equity value.
• Executive compensation modeling and scenario analysis supporting grant design and decision-making.
• Board-ready materials clearly articulating equity value and performance alignment.
• Complete all responsibilities as outlined in the annual performance review and/or goal setting.
• Complete all special projects and other duties as assigned.

Qualifications

Education

• Bachelor’s degree in Finance, HR, Business, or related field required.
• Advanced degree or certification (e.g., CCP) preferred.

Experience

• 8+ years in compensation, with significant focus on equity/long-term incentive programs.
• Experience in private equity-backed or publicly traded environments strongly preferred.
• Demonstrated experience managing equity vendors and legal coordination.

Knowledge, Skills & Abilities

      Required

• Deep expertise in equity compensation structures and administration.
• Strong analytical capability (modeling, scenario analysis).
• Ability to translate complex financial concepts into plain English.
• High attention to detail and documentation discipline.
• Strong stakeholder management with senior executives.

      Preferred

• Experience with Equity Shift or similar platforms.
• Familiarity with private equity terminology (e.g., MOIC, vesting structures).
• Exposure to governance, audit, and compliance frameworks.

Working Conditions and Physical Requirements

• Remote work environment with standard office requirements.
• Repeating motions that may include the wrists, hands, and/or fingers.
• Prolonged periods of sitting and computer use.
• Must be able to provide a dedicated, secure work area.
• Must be able to provide high-speed internet access / connectivity and office setup and maintenance.

Base compensation ranges from $120,000 to $160,000 per year. Specific offers are determined by various factors, such as experience, education, skills, certifications, and other business needs. This role is eligible for bonus consideration.
