Build quality-of-earnings analyses: normalize EBITDA and quantify add-backs and one-time items.
Examine historical earnings, cash conversion, and net working capital trends; propose a working capital peg.
Identify debt and debt-like items, off-balance-sheet obligations, and contingent liabilities.
Verify reporting accuracy: revenue recognition, cut-off, reserves, and accounting policies.
Tie financial results to operating drivers such as yield, throughput, pricing, and inventory.
Stress-test management projections with scenario and sensitivity analysis.
Feed findings into the purchase agreement, valuation model, and lender package.
After close, set up the 13-week cash forecast, KPI reporting, and finance integration.
What you bring
7+ years in transaction services, audit, or corporate finance; 3+ years of buy-side or sell-side diligence.
CPA or CA strongly preferred; CFA or MBA a plus.
Expert Excel and financial modeling; experience with data rooms and analytics tools.
Knowledge of US GAAP; IFRS a plus for cross-border deals.
Industrial, manufacturing, or PE portfolio company background preferred.
Operating Partner path: interim CFO or finance lead post-merger, driving cash, margin, and exit-ready reporting.
