Job Description:
The Corporate Paralegal is a key member of the Corporate Operations team responsible for supporting contract operations, legal operations, and corporate governance across the organization. This role ensures contracts, legal documentation, and corporate records are organized, compliant, and efficiently managed while supporting the company's continued growth.
This position serves as the operational liaison between the business and outside legal counsel, coordinating legal reviews, managing contract workflows, maintaining corporate records, and supporting the administration of vendor agreements, NDAs, licensing, and corporate governance activities. The ideal candidate is highly organized, experienced in Department of Defense contracting, and comfortable working independently in a fast-paced, regulated environment.
Key Responsibilities
Legal Operations & Contract Administration
- Manage the administration of the corporate contract lifecycle, including vendor agreements, licensing agreements, NDAs, consulting agreements, and other commercial contracts.
- Serve as the primary owner of all corporate NDAs, ensuring timely execution, organization, and record retention.
- Draft, review, edit, and coordinate standard agreements and contract templates.
- Perform initial contract reviews, prepare redlines for routine commercial agreements, and coordinate legal review with outside counsel on complex matters.
- Support vendor contract negotiations by preparing drafts, documenting business requirements, coordinating revisions, and supporting contract execution.
- Track contract status, amendments, renewal dates, expiration dates, obligations, and key contractual terms.
- Maintain the corporate contract repository and Contract Lifecycle Management (CLM) platform to ensure complete and accurate contract records.
Corporate Governance
- Maintain corporate records, governance documentation, and entity filings.
- Coordinate board resolutions, signature packages, and corporate approvals.
- Support trademark administration, annual filings, and corporate registrations.
- Maintain legal document retention and records management practices.
Vendor & Licensing Operations
- Coordinate vendor onboarding and legal documentation.
- Manage enterprise software licensing agreements, renewals, and contract documentation.
- Support EDA, SaaS, technology vendor, and enterprise licensing administration.
- Partner with Finance, Technology, Security, and Procurement to ensure contractual obligations are tracked and fulfilled.
Cross-Functional Support
- Serve as the primary point of contact for internal and external contract inquiries.
- Coordinate with outside counsel to facilitate contract reviews and legal guidance.
- Partner with Business Development, Technology, Security, Finance, and Operations to support business initiatives requiring legal documentation.
- Assist with contract process improvements, workflow automation, and standardization efforts.
- Support audits and compliance activities by maintaining complete contract documentation and legal records.
Qualifications
Required
- Associate or bachelor’s degree in paralegal studies, Legal Studies, Business, or related field.
- 5+ years of paralegal or legal operations experience; priority will be given to candidates with experience supporting Department of Defense, federal government, or government contracting organizations.
- Experience reviewing, drafting, and administering commercial contracts, vendor agreements, and NDAs.
- Experience working directly with outside legal counsel Experience supporting contract lifecycle management systems and legal document repositories.
- Strong organizational, communication, and document management skills.
- Ability to manage multiple priorities while maintaining attention to detail.
Preferred
- Paralegal Certificate.
- Experience supporting Department of Defense or Other Transaction Authority (OTA) contracting environments.
- Knowledge of FAR, DFARS, and government contracting principles.
- Experience supporting software licensing, SaaS agreements, and technology vendor contracts.
- Experience with CLM platforms, Salesforce, Microsoft 365, or similar enterprise systems.
- Familiarity with AI-enabled legal tools and document automation.
Travel:
- Travel for this position is estimated up to 5%
Salary Range:
$100,000 - $105,000
