Position type: Exempt

 

Position Overview: This role supports legal counsel across a range of matters, with a primary focus on contract review and analysis, legal and regulatory change monitoring, litigation support, and corporate governance activities. The Legal Analyst is expected to perform work independently and proactively, exercising sound judgment and discretion, while operating under the overall supervision of legal counsel. The role is designed for a professional who can evaluate issues, identify risks, and determine when escalation to counsel is appropriate.

Responsibilities Would Include:

Contract Review & Legal Analysis

  • At direction of Corporate Legal counsel, review, analyze, and interpret a broad range of commercial contracts and agreements
  • Identify legal, regulatory, and business risks and present findings to legal counsel
  • Prepare contract summaries, issue analyses, and decision-support materials for internal stakeholders
  • Support contract lifecycle management, including amendments, renewals, and obligation tracking
  • Apply judgment to routine and moderately complex contract matters prior to/in preparation for escalation to in-house legal counsel

Legal Research & Monitoring of Legal Developments

  • Monitor changes in laws, regulations, and legal guidance relevant to company operations
  • Analyze the potential impact of legal developments and prepare clear summaries for counsel and business teams
  • Support compliance initiatives through research and issue spotting across multiple legal subject areas

Corporate Governance & Entity Support

  • Support corporate governance activities, including preparation of board and committee materials
  • Draft and maintain resolutions, written consents, agendas, and meeting minutes
  • Maintain corporate records, governance files, and entity documentation

Litigation & Dispute Support

  • Support litigation and dispute matters, including document preservation, collection, organization, and tracking
  • Assist with responses to audits, subpoenas, claims, and information requests
  • Coordinate with internal stakeholders and outside counsel as directed

Legal Operations & Counsel Support

  • Serve as a point of contact for legal matters requiring analysis before attorney involvement
  • Support legal department process improvements, templates, and tracking systems
  • Manage multiple workstreams and priorities with minimal oversight
  • Escalate legal issues appropriately while independently resolving routine matters

Preferred Education & Experience:

  • Bachelor’s degree in Legal Studies, Business, Political Science, or a similar relevant field required. 3+ years of experience in a legal analyst, contract analyst, compliance, or comparable corporate legal role
  • Demonstrated ability to work independently under attorney supervision. Ability to work remotely with preference for candidates located in Pennsylvania or surrounding states
  • Strong legal research, analytical, and written communication skills
  • Experience in a manufacturing, industrial, or regulated corporate environment. Experience supporting corporate governance or entity management
  • Exposure to US government contracts or public-sector customers. Familiarity with contract lifecycle management or legal matter tracking systems
