I.    JOB SUMMARY 


Working in a fast-paced, dynamic environment, the Sr. Paralegal, Contracts will provide advice and assistance in the areas of contract drafting, review, and management throughout the entire contract lifecycle. This position supports the Transactions team within Legal Affairs.  The position is fully remote. 

 

II.    ESSENTIAL FUNCTIONS

•    The Sr. Paralegal, Contracts will work closely with other members of the Transactions team as well as the commercial products business and sourcing & procurement. 
•    Responsible for drafting, negotiating and finalizing contracts with internal and external parties with minimal supervision and oversight from Emergent’s Legal Department
•    Contracts will be varied, and include, but are not limited to, Master Services Agreements, Statements of Work, Supply Agreements, Maintenance Agreements, or Rental Agreements 
•    Act as liaison between internal business parties and external vendors and suppliers, making sure that necessary feedback and approvals are gathered from internal stakeholders and ensuring business objectives are met
•    Monitor and respond to upcoming contractual actions and deadlines by communicating with Emergent stakeholders and determining the appropriate course of action 
•    Correspond with internal clients on contract intake and pending contracts while working independently or with attorneys to process requests and make recommendations based upon the facts and circumstances
•    Minimize risk to the organization by identifying issues and negotiating terms while adhering to policies and procedures 
•    Assist in supporting the company’s contract execution process and maintaining data within the company’s contract management system (Agiloft)
•    Serve as system administrator for Agiloft, in conjunction with Legal Operations
•    Assist in the development of policies and procedures, and systems for contract management 
•    Prepare and provide occasional training to internal clients on matters relating to the company’s contract policies and procedures
•    Develop strategies and tools to increase efficiencies and improve client service, independently and in collaboration with other members of the legal team; 
•    Must have significant experience redlining agreements
•    High level of accuracy, strong attention to detail and excellent proofreading skills
•    Excellent organization skills coupled with the ability to compile information from multiple sources

III. MINIMUM EDUCATION, EXPERIENCE, SKILLS

Education:  Bachelor’s degree

Experience: 7+ years of experience as a paralegal, including contract drafting, negotiating, and contract management system experience is required.  Strong preference for someone with in-house corporate experience or in a contracts terms and conditions focused role. Must have familiarity with Sourcing & Procurement contracts and experience preparing redlines.  

Knowledge: Must possess a strong understanding of language in contracts and demonstrate an aptitude of each party’s obligations as well as the ability to effectively identify, communicate and mitigate risks to the business. Strong background and working knowledge of full contract life cycle, from initiation through post-execution as well as an understanding of contract relationships, key terms and how to negotiate. Experience working with Agiloft contract management system is strongly preferred.

Skills: Deadline and detail oriented. Organized, high level of intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills. Excellent time management, written and verbal communication skills are essential. Ability to interface with multiple levels within the company. Proven contract drafting, redlining and negotiating skills. Technically proficient in systems such as Word, Outlook, Excel, Adobe Acrobat.

Abilities: Demonstrated ability to work independently with little supervision. Ability to prioritize multiple tasks with competing priorities. Must excel in a dynamic, fast-paced work environment while maintaining focus and balancing priorities. Must be proactive and demonstrate initiative to perform tasks without being asked. Excellent attention to detail and accuracy in work. Must be comfortable with some ambiguity in the day-to-day performance of tasks. Team-oriented, with a strong sense of humor are essential. Must also possess sound judgment, interpersonal skills and the ability to exercise discretion. 

 

U.S. Base Pay Ranges and Benefits Information

The estimated annual base salary as a new hire for this position ranges from [$117,500 to $142,100]. Individual base pay depends on various factors such as applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data.  The salary may also be adjusted based on applicant’s geographic location.  Certain roles are eligible for additional incentive compensation, including merit increases, annual bonus, [and/or long-term incentives in the form of stock options.]
