We are seeking an experienced Senior Commercial & Construction Lawyer with strong expertise across general commercial law, corporate transactions, and residential construction matters.

The ideal candidate will be capable of operating at a high level across complex commercial matters, including M&A transactions, shareholder agreements, corporate structuring, and commercial contracts, while also possessing strong experience in construction law, particularly residential developments involving houses, units, and apartment projects.

Experience practising within the Australian legal system is highly desirable. The successful candidate should be comfortable independently analysing sophisticated legal and commercial issues, providing strategic advice, drafting and negotiating complex agreements, and taking ownership of matters from instruction through completion.

Responsibilities:

  • Provide high-level strategic and legal advice across a broad range of general commercial and corporate matters.

  • Advise on mergers and acquisitions (M&A), including transaction structuring, legal due diligence, negotiation, documentation, and completion.

  • Draft, review, and negotiate shareholder agreements, share sale agreements, business sale agreements, joint venture agreements, and other corporate and commercial documents.

  • Advise businesses, shareholders, and other stakeholders on corporate structuring, shareholder rights and obligations, governance, and commercial risk.

  • Draft and negotiate a broad range of commercial contracts and agreements.

  • Provide legal advice on residential construction and development matters, including projects involving houses, townhouses/units, and apartment developments.

  • Draft, review, and negotiate residential building and construction contracts and related project documentation.

  • Advise clients on contractual rights, obligations, risk allocation, variations, delays, defects, payment issues, termination, and other matters arising throughout construction projects.

  • Identify legal and commercial risks and provide practical, commercially focused solutions to clients.

  • Manage matters independently while collaborating with clients, external advisers, and other stakeholders as required.

  • Conduct legal research and remain current on relevant commercial, corporate, and construction legislation and regulatory developments.

  • Where applicable, advise on matters within the Australian legal and regulatory framework.

Qualifications:

  • Undergraduate degree in Law and appropriate legal qualifications; Australian legal qualifications or admission are highly desirable.

  • Ideally 5+ years of relevant legal experience, with substantial exposure to commercial/corporate and/or construction law.

  • Strong technical knowledge of general commercial law, with demonstrated experience handling sophisticated commercial matters.

  • Significant experience with M&A transactions, shareholder agreements, corporate transactions, and commercial contracts.

  • Ability to independently draft, review, negotiate, and advise on complex transaction documents.

  • Strong understanding of corporate structures, shareholder arrangements, governance, and commercial risk.

  • Demonstrated experience in construction law, preferably with a strong focus on residential construction and development.

  • Experience advising on residential projects involving houses, units/townhouses, apartments, or similar developments.

  • Australian legal experience is strongly preferred, particularly experience advising Australian businesses, developers, builders, or property/construction clients.

  • Strong commercial judgment with the ability to move beyond identifying legal issues and provide practical, strategic solutions.

  • Excellent contract drafting, negotiation, analytical, and problem-solving skills.

  • Excellent written and verbal communication skills with the ability to advise clients confidently on complex matters.

  • Ability to independently manage matters and competing priorities in a remote working environment.
