Job Overview

We are seeking an organized, innovative, detail-oriented, and long-term paralegal/contracts manager. You will be a critical member of PES’ Legal and Compliance Team working closely with and supporting attorneys and compliance professionals with the goal of optimizing and uplifting the work of the department. This position will report to the Vice President dedicated to Legal Innovation and may be filled fully remotely, with a preference for Minneapolis, MN.

 

Key Responsibilities

  • Partner with attorneys and compliance professionals across a broad range of transactions, documents, and initiatives.
  • Collaborate cross-functionally with Sales, IT, Operations, Accounting, Business Development, and Investor Relations to support contract execution, process alignment, and operational efficiency.
  • Serve as a critical liaison to outside service providers, facilitating transactions and overseeing deliverables.
  • Optimize, streamline, and manage the high-volume, end-to-end contract lifecycle — including drafting, reviewing, and negotiating NDAs, SOWs, MSAs, vendor agreements, and service agreements — and serve as business owner of Ironclad.
  • Support corporate governance, entity administration, and recordkeeping, including maintenance of legal entity records and organization charts. Actively participate in design and execution of entity management, including platform, process and KYC support.
  • Maintain and update key group resources, including transaction and precedent documentation, legal research, and system development and support.
  • Support, review and implement final execution and management of legal and compliance documentation, memos, and audits.
  • Proactively identify and implement opportunities for automation, process improvement, systems solutions, and efficiency across the legal and compliance function.

Requirements

Extensive experience managing the end-to-end contract lifecycle is required. Experience working as a critical member of an in-house legal or compliance department, with knowledge of corporate governance, entity and contract management, compliance programs, and confidentiality, a must.  Experience in the investment management/fund formation practice of a major law firm or investment manager is preferred.

  • Excels at thinking creatively about systems and processes to streamline workflow and ensure maximum accuracy.
  • Ability to work efficiently in a fast-paced, demanding environment and prioritize numerous tasks.
  • Superior organizational skills and attention to detail.
  • Excellent written and verbal communication skills, with a strong ability to build trust and momentum through consistent performance and thoughtful messaging.
  • Exceptional drafting and negotiating skills, finding the balance between efficiency, business need, and risk.
  • Technological skills (such as Excel, PowerPoint, Adobe, Visio, SharePoint, Ironclad, Claude Cowork, etc.) and ability to learn, perfect, and improve new technology quickly.

  • Annual base salary range for this role is expected to be between $105,000 - $120,000
    • The actual salary will depend on various factors, including but not limited to a candidate’s experience and credentials, salary expectations of applicable candidates, and other applicable market conditions.
  • Annual year-end bonus eligible
