Independent Non-Executive Resident Director (INED) - Dubai, UAE

Position Summary

We are seeking a UAE resident to serve as an Independent Non-Executive Director (INED) for Hex Trust MENA. The successful candidate will provide independent oversight, ensure local regulatory compliance with the Virtual Assets Regulatory Authority (VARA), and contribute to the company's regional governance framework in the Middle East.

Duties & Responsibilities

• Strategic & Independent Oversight: Provide independent and objective judgment and advice on the company's strategy, performance, risk management, regulatory compliance, and corporate governance matters.
• Board Participation: Review board materials, attend board meetings, committee meetings, and general meetings of the company, and actively participate in discussions and decision-making processes.
• Authority Limits: Act strictly in a non-executive capacity; the director shall not enter into any legal or other commitment or contract on behalf of the company unless specifically authorized by the Board.
• Statutory & VARA Compliance: Execute necessary corporate and regulatory declarations required under UAE law and VARA frameworks, assisting in maintaining Hex Trust MENA's fit and proper standing

Time Commitment & Term:

• Term: Initial contract continuing until the next annual general meeting, with the possibility of reappointment for additional 1-year terms subject to approval.
• Time Commitment: Expected to devote sufficient time to prepare for and attend 4x scheduled board meetings per year, as well as making themselves available for ad hoc meetings and regulatory discussions as required.

Requirements

• Residency: Must be a legal resident of the UAE (Dubai preference).
• Background & Experience: Prior experience serving in similar roles required.
• Regulatory Knowledge: Strong understanding of UAE financial regulations, local corporate laws, and VARA’s regulatory framework for Virtual Asset Service Providers (VASPs).
• Professional Standing: Full disclosure of any conflicts of interest is mandatory. Must meet VARA’s "Fit and Proper" requirements, with no history of material contract breaches, fiduciary non-observance, fraud, dishonesty, criminal offenses, bankruptcy, or regulatory director disqualifications.
• Compliance & Governance: Strict compliance with data protection policies, corporate confidentiality (both during and after the appointment), and anti-corruption/anti-bribery procedures.

Candidates who do not tick all the boxes are still encouraged to apply, those with less experience will still be considered for the position but with an adjustment to the level of seniority.

Terms & Compensation:

• Target Fee: Up to USD 10,000 per annum (payable quarterly or monthly in arrears).
• Expenses: Reimbursement for all reasonable expenses incurred in connection with director duties, subject to company policy or prior written approval.
• Protections: Covered under standard company indemnification and Directors & Officers (D&O) liability insurance protection.
