We are now hiring our first General Counsel to build and lead the legal function.
This is a one-person legal department, broad by design. You will own everything from commercial contracts and data privacy to employment law and corporate governance, and you will be the primary legal voice to the CEO, CFO, and Board. The job is not to hedge every risk or slow the business down. It is to protect the company well, keep deals moving, keep us compliant across a complex international footprint, and build a legal function that scales as we grow. This is a remote role, open to candidates based in New York or elsewhere on the US East Coast.
The person we are looking for is a pragmatic, commercial attorney with strong SaaS contract experience, hands-on data privacy knowledge, employment law exposure across several jurisdictions, and the confidence to work as a solo in-house lawyer at a fast-moving company. You know when to give a clear answer and when to bring in outside counsel, and you earn trust by solving problems rather than finding them.
Responsibilities include
Commercial Contracts
- Own the full commercial contracting lifecycle, drafting, reviewing, and negotiating customer MSAs, order forms, data processing agreements, SLAs, NDAs, and renewals for an enterprise SaaS business.
- Act as the primary legal partner to Sales and Deal Desk, giving fast, practical guidance on deal structure, contract risk, and customer requests that fall outside the standard template.
- Build and maintain standard templates, redline playbooks, and fallback positions so the business can move at speed without losing legal protection.
- Review and negotiate inbound vendor, supplier, and technology agreements, and advise Finance on contract terms that carry revenue recognition implications.
- Support M&A and strategic transactions as needed, including legal due diligence and deal documentation.
Data Privacy and Regulatory Compliance
- Own the global data privacy program, including GDPR, CCPA, and other applicable frameworks across all operating jurisdictions.
- Draft and maintain data processing agreements, sub-processor schedules, and cross-border transfer mechanisms, including Standard Contractual Clauses.
- Partner with Product and Engineering on privacy by design, new feature releases, and the AI-related legal questions arising from the Integrity Platform.
- Track evolving regulation and assess its impact on the product and operations, including the EU AI Act, the Corporate Sustainability Due Diligence Directive, and emerging US state privacy laws.
- Maintain our own internal compliance program, including FCPA and UK Bribery Act obligations, in keeping with our mission as an ethics and compliance software provider.
Employment and HR Law
- Serve as the primary legal advisor to the People team on employment matters across every jurisdiction where we employ staff, including the US, Denmark, the UK, and other active markets.
- Draft and maintain employment agreements, offer letters, severance agreements, equity award documentation, and contractor arrangements.
- Advise on employee relations, investigations, performance management, and terminations, with full compliance in each jurisdiction.
- Manage US multistate employment compliance, covering wage and hour, leave, the enforceability of restrictive covenants, pay transparency, and worker classification, alongside EU and UK obligations.
- Support HR policy and handbook development, and advise on equity plan administration, immigration, and benefits compliance.
- Manage employment disputes and agency charges in coordination with external counsel where needed.
International and Corporate Law
- Advise on legal and regulatory requirements across all jurisdictions where we operate, including the US, Denmark, the UK, and other EU and APAC markets.
- Oversee the governance of international subsidiaries, including corporate records, intercompany agreements, and local filings, working with external local counsel.
- Advise on cross-border commercial and operational matters, including transfer pricing, intercompany services, and entity-level contract structures.
- Manage external counsel across jurisdictions, keeping specialist spend focused and cost-effective.
Intellectual Property
- Protect our intellectual property, including software ownership, proprietary platform technology, and brand assets.
- Oversee open source license compliance and third party software usage across the product.
- Manage trademark registration and enforcement in key markets, and advise on IP provisions in customer and vendor contracts.
Corporate Governance and Board Support
- Support the CEO and CFO on corporate governance, including Board preparation, equity plan administration, and investor documentation.
- Maintain corporate records and entity governance across our domestic and international subsidiaries.
- Advise on equity financings, investor rights, and secondary transactions with external counsel, and present legal risk updates to the Board and Audit Committee.
Preferred Skills and Competencies
- JD from an accredited law school and admission to at least one US state bar in good standing, New York preferred.
- 5- 7 years of legal experience, ideally combining law firm training with in-house work at a technology or SaaS company.
- Experience as the first or sole in-house lawyer at a scaling SaaS or technology company is a plus.
- Strong commercial contracting background, with real experience drafting and negotiating enterprise SaaS or technology agreements.
- Hands-on GDPR and data privacy experience, including DPAs, SCCs, and cross-border transfer frameworks.
- Practical employment law experience across several US states, with some exposure to European employment matters.
- A genuine generalist who moves easily across commercial, employment, privacy, corporate, and compliance work.
- A habit of giving clear, practical guidance that helps the business move, rather than long memos that list risk without resolving it.
- Strong communication skills, able to explain legal issues plainly to colleagues who are not lawyers, at every level, including the executive team and Board.
- Sound judgment and discretion on sensitive matters involving employees, customers, and investors.
Nice to have Skills and Competencies
- Familiarity with compliance, ethics, or GRC software, or experience advising clients in heavily regulated industries.
- Experience with EU regulatory frameworks including GDPR enforcement, the EU AI Act, and the Corporate Sustainability Due Diligence Directive.
- Background in private equity-backed environments and the requirements that come with institutional investor ownership.
- Exposure to equity financing transactions, including growth-stage rounds or secondary liquidity events.
- Fluency in Danish, German, or another European language, given our Scandinavian roots and European customer base.
