The constitutional document of the vehicle: mandate, permitted and prohibited instruments, investment restrictions and concentration limits, decision rights and delegation, reporting obligations.

Eligibility criteria

The screening framework: universal gates applying to every asset, and technical and commercial gates specific to each of the five tiers. Each gate to carry a stated test and defined evidence, usable without judgement calls.

Business case

How the vehicle earns — financing margin, offtake margin, production uplift, royalty, technical margin, fees and equity upside — and how those lines combine at each tier.

Head of terms

Sponsor heads: commitments, economics, carried interest, governance, exclusivity and conditions.

Bankable business plan

The plan for lenders and development finance institutions, with the financial model behind it, and the gap analysis against what a DFI actually requires.

Capital allocation

Allocation of committed capital across the five tiers, deployment schedule, capital recycling, and the fee and waterfall structure.

Financial model

Owned end to end: tier returns, loss and recovery assumptions, portfolio blend, waterfall, fee drag, base and downside cases against a stated price deck.

Legal and regulatory structuring

Determine and set out the structure: domicile, instrument characterisation, security package, and tax treatment. The vehicle may be established in Mauritius. Establish whether the structure requires registration with the Securities and Exchange Commission of Nigeria and, if so, recommend and cost the route to it. Identify precisely what will later need to be handed to a law firm for documentation, and what does not.


One dependency outside your control

Selection of the technical entity sits with the client. You are not accountable for their timing. You are accountable for specifying what you need from them, chasing it, and building around whatever they deliver.


Delivery Schedule

This is an AI-era engagement and the pace reflects it. A complete first draft of the whole structure is expected within one week, not one month. The consultant is expected to use AI tooling throughout, and will be assessed on output rather than on hours worked. Each draft is complete in shape from the first version and gains depth thereafter — we do not want workstreams delivered one at a time in sequence.

Why the schedule is shaped this way

  • A complete skeleton in week one exposes what is unknown while there is still time to resolve it. A polished single workstream in week one tells us nothing.

  • The structural decisions — domicile, instrument, regulatory perimeter — must be taken by week three. Everything after Draft 3 is built on them, and reopening them later means rebuilding the model.

  • The final draft lands at week eight, five weeks before the term ends. That gap is deliberate: it is the room for the client to adopt, for the structure to be tested against lender questions, and for handover — not spare time



Requirements

4.1  Essential

  • Has taken at least one fund or capital vehicle from term sheet to close in a structuring role. You will be asked to name it, describe the hardest part of it, and provide a reference.

  • Able to take the legal and regulatory structuring decisions yourself — domicile, instrument characterisation, security and tax — and to defend them to a lender. No law firm is being engaged on this mandate.

  • Oil and gas experience, upstream preferred. Understands reserves, production, evacuation and offtake, and how a barrel converts into cash.

  • Nigerian experience. NUPRC, ministerial consent on assignments, the Petroleum Industry Act fiscal regime, and the Central Bank framework for capital importation and repatriation.

  • Strong financial modelling: waterfalls, carried interest, portfolio IRR and MOIC, loss and recovery assumptions, sensitivities and stress cases. This will be tested.

  • Experience of prepayment, offtake, borrowing base, reserve-based lending or structured commodity finance.

  • Fluent use of AI tooling in professional work, and able to say where it helps and where its output cannot be trusted.

  • Available to start on 1 September and to work at the pace set out in Section 3.


4.2  Regulatory standing

The vehicle’s domicile and regulatory perimeter are to be determined as part of this engagement, and the vehicle may be established in Mauritius. State clearly in your application:

  • Any current registration with the Securities and Exchange Commission of Nigeria as a fund or portfolio manager, with the registration number.

  • Any SEC-registered firm you are attached to, and the terms on which you are available.

  • Any equivalent standing in another jurisdiction.

  • Any experience of offshore fund domiciles, Mauritius in particular.

Current Nigerian registration is a material advantage. Where it is absent, the ability to advise on and execute the registration path is expected.
