IONIC DIGITAL, a digital infrastructure company, is seeking an experienced, business-oriented Corporate Counsel to join our Legal Department and play a critical role in supporting the company’s continued expansion as a public company. This is a highly visible opportunity for an attorney who thrives in a dynamic environment and is excited to work closely with executive leadership on a broad range of corporate governance, securities, commercial, and strategic matters. The ideal candidate will bring strong judgment, a collaborative mindset, and the ability to balance legal risk with practical business objectives while helping build scalable legal and operational processes for a rapidly evolving organization. Reporting directly to the General Counsel, the Corporate Counsel will serve as a key legal advisor across corporate governance, securities compliance, commercial contracting, and operational matters.
The ideal candidate will bring a strong public company governance background, excellent commercial contracting skills, and the ability to provide practical, business-oriented legal advice in a fast-paced environment. This role will lead many day-to-day corporate governance and corporate secretary functions while supporting the continued growth and operational needs of the company.
Key Responsibilities
Corporate Governance & Securities
- Support Board of Directors and committee governance processes, including preparation of agendas, resolutions, meeting materials, minutes, and presentations.
- Manage and maintain corporate records, minute books, subsidiary governance documentation, and entity management systems.
- Draft and maintain governance documents, including Board resolutions, committee charters, governance policies, secretary certificates, and written consents.
- Assist with SEC reporting and securities law compliance, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 filings.
- Support annual shareholder meeting preparation, proxy processes, and stockholder communications.
- Assist with Nasdaq and other stock exchange compliance requirements.
- Support insider trading compliance programs, governance calendars, and related corporate policies.
Commercial Contracts & Legal Operations
- Lead the drafting, review, negotiation, and management of a broad range of commercial agreements.
- Develop scalable legal operations processes, including contract review, approval workflows, execution procedures, and contract lifecycle management systems.
- Create and maintain contract templates, playbooks, policies, and internal procedures.
- Negotiate agreements including:
- Vendor and service agreements
- Technology and licensing agreements
- NDAs and consulting agreements
- Construction and infrastructure agreements
- Energy and power-related commercial contracts
Strategic & Operational Support
- Provide practical legal guidance to executives and business leaders across the organization.
- Identify legal and business risks while balancing operational and strategic objectives.
- Support data center development, infrastructure projects, and energy procurement transactions.
- Coordinate with outside counsel, auditors, consultants, regulators, and other external stakeholders as needed.
- Assist with strategic transactions, special projects, and other legal department initiatives.

Required Qualifications and Experience
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active membership in good standing with at least one state bar.
- Minimum of 5+ years of legal experience in corporate law, securities law, commercial contracting, and contract negotiation.
- Strong drafting, negotiation, analytical, communication, and organizational skills.
- Ability to independently manage multiple priorities and legal matters in a fast-paced environment.
- Strong business judgment and a practical, solution-oriented approach to legal issues.
Preferred Qualifications
- Combination of law firm and in-house public company experience.
- Experience supporting public company governance, Board processes, SEC reporting, and securities compliance.
- Experience with Nasdaq or other stock exchange compliance requirements.
- Experience with subsidiary governance and corporate governance administration.
- Experience implementing legal operations or contract management systems.
- Industry experience in digital infrastructure, energy, data centers, cryptocurrency, or related sectors.
- Experience with data center construction agreements, electric power supply agreements, or energy infrastructure contracts.
