We are looking for a Company Secretary – Legal, Risk & Compliance to take ownership of corporate governance, legal operations, risk management and end-to-end compliance across the Syscort group.

Role Overview

This is a high-ownership role working closely with the Founder/CEO, Finance and Operations teams.

The person will act as the internal owner for all corporate secretarial, entity management, legal coordination, risk and compliance matters, working closely with external Corporate Service Providers (CSPs), company secretaries, lawyers, auditors, tax advisors, PROs and regulatory consultants across jurisdictions.

The expectation is not merely to coordinate activities, but to ensure that every compliance obligation is completed, documented and closed on time.

Key Responsibilities

1. Corporate Secretarial & Entity Management

  • Manage corporate secretarial and statutory requirements across Syscort entities.
  • Maintain the complete Group Entity Master covering UAE, India, Singapore, UK and future jurisdictions.
  • Maintain corporate registers, statutory records, resolutions, minutes and governance documentation.
  • Coordinate incorporation, restructuring, amendments, director/shareholder changes and entity closures.
  • Track all licenses, registrations, renewals and corporate filings.

2. Corporate Service Provider Management

  • Act as the primary internal point of contact for Corporate Service Providers, Company Secretaries, PROs, legal firms, auditors and other external advisors.
  • Assign and track compliance activities with relevant service providers.
  • Obtain quotations, compare scopes and coordinate engagement where required.
  • Review deliverables and documentation received from external providers.
  • Maintain clear ownership, deadlines and status for every outstanding activity.
  • Ensure external providers complete agreed filings and compliance activities within deadlines.
  • Escalate delays, gaps or risks to management.
  • Maintain a central CSP / Advisor Tracker including scope, fees, renewal dates, deliverables and performance.

3. End-to-End Compliance Management

  • Own the centralized Statutory & Regulatory Compliance Calendar.
  • Track annual returns, statutory filings, license renewals, UBO declarations, corporate registrations and other regulatory requirements.
  • Ensure compliance activities are initiated well before their deadlines.
  • Follow up with internal stakeholders and external advisors until completion.
  • Collect and archive evidence of completed filings and submissions.
  • Identify missed, overdue or upcoming compliance obligations and proactively escalate them.
  • Ensure there are no compliance items without a clear owner and status.

4. Legal & Contract Management

  • Coordinate drafting, review and execution of NDAs, MSAs, SOWs, vendor agreements, employment agreements and other commercial contracts.
  • Review contracts from a commercial and risk perspective and identify key obligations, liabilities and unfavorable clauses.
  • Coordinate with external lawyers for specialized legal matters.
  • Maintain a centralized Contract Repository and Contract Obligation Tracker.
  • Track notice periods, renewals, termination clauses, indemnities, liability, payment terms and other key obligations.
  • Support Sales, Finance and Business teams during contract negotiations.

5. Risk Management

  • Establish and maintain a practical Company Risk Register.
  • Track legal, contractual, financial, operational, compliance and vendor risks.
  • Assign risk owners and mitigation actions.
  • Monitor outstanding risk items and ensure timely closure.
  • Support customer/vendor due diligence and KYC.
  • Develop practical approval and escalation frameworks for contracts, vendors and business commitments.

6. Finance & Commercial Compliance Support

  • Work closely with Finance on contractual payment terms, liabilities, penalties, guarantees and commercial risks.
  • Support banking KYC and corporate documentation.
  • Coordinate documentation for audits, due diligence, banking and client onboarding.
  • Support intercompany agreements and corporate documentation across Syscort entities.

7. Policies, SOPs & Governance

  • Develop and maintain corporate, legal, risk and compliance SOPs.
  • Establish contract and vendor approval workflows.
  • Create compliance checklists and standardized processes.
  • Maintain a centralized repository for corporate and legal documentation.
  • Continuously improve governance processes as Syscort expands.

Ideal Candidate

  • Qualified Company Secretary (CS) with relevant practical experience.
  • Strong understanding of corporate governance, company law and statutory compliance.
  • Experience managing multiple entities and jurisdictions.
  • Strong experience coordinating with CSPs, legal firms, auditors, tax advisors, PROs and regulatory authorities.
  • Practical understanding of commercial contracts and legal risks.
  • Strong organizational, documentation and follow-up skills.
  • Comfortable working directly with founders and senior management.
  • Highly accountable for deadlines and closure of compliance activities.
  • Ability to build processes and systems from the ground up.
  • Strong written and verbal communication skills.

The person should ensure that:

Every entity → every compliance → every contract → every risk → every renewal → every legal matter has an owner, deadline, status and documented closure.

This is not purely a traditional Company Secretary role. We are looking for someone who can take ownership of the broader Legal, Risk, Compliance & Corporate Governance function, manage external service providers effectively and build a reliable operating framework as Syscort grows internationally.
