Job description

We are seeking an experienced Commercial Legal Counsel to support our commercial activities in the United States, with a particular focus on government contracting and regulatory compliance. This is a remote position involving close collaboration with teams in the United States and Israel.

The role will advise business teams throughout the contract lifecycle, including bid preparation, contract negotiation, performance, compliance, and dispute management.

The ideal candidate is a practical, business-oriented attorney with at least five years of relevant experience, strong knowledge of U.S. government contracting requirements, and experience advising on compliance requirements across different U.S. states.

Key Responsibilities

• Draft, review, and negotiate a broad range of commercial agreements, including customer contracts, master services agreements, professional services agreements, subcontracts, teaming agreements, NDAs, vendor agreements, and technology-related agreements.
• Advise on U.S. federal, state, and local government contracting matters, including applicable procurement rules and contractual requirements.
• Review solicitations, RFPs, bids, and government contracts and identify material legal, commercial, compliance, and operational risks.
• Advise on the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and other applicable federal and agency-specific requirements.
• Advise on legal, licensing, registration, and regulatory compliance requirements across different U.S. states.
• Review and negotiate government-contract flow-down provisions in prime contracts, subcontracts, and teaming arrangements.
• Support compliance with government-contracting requirements, including representations and certifications, ethics obligations, cybersecurity requirements, recordkeeping, audit rights, and mandatory disclosures.
• Partner with Sales, Finance, Operations, Procurement, Information Security, and other internal stakeholders to provide practical and solutions-oriented legal advice.
• Support contract administration, including amendments, change orders, claims, disputes, payment matters, and contract termination issues.
• Assist in developing and improving contract templates, playbooks, approval processes, and internal compliance procedures.
• Manage external counsel, where necessary, in a cost-effective manner.
• Monitor relevant federal and state legal and regulatory developments and communicate their potential impact on the business.

Requirements

• Law degree from an accredited law school.
• Admission and good standing with at least one U.S. state bar.
• 5+ years of relevant legal experience, including meaningful experience in commercial law and U.S. government contracting.
• Strong working knowledge of federal procurement regulations, including FAR and, preferably, DFARS.
• Experience advising on legal and regulatory compliance requirements across multiple U.S. states.
• Experience negotiating commercial agreements and government-related prime contracts, subcontracts, or teaming agreements.
• Experience in the engineering or utilities industry is an advantage.
• Experience in infrastructure, construction, technology, defense, or professional services is also an advantage.
• Ability to identify key risks and provide clear, practical, and commercially focused recommendations.
• Strong drafting, negotiation, analytical, and communication skills.
• Ability to manage multiple priorities independently in a fast-paced, international environment.
• High level of ownership, sound judgment, attention to detail, and a proactive “get things done” approach.

Location and Working Hours - This is a remote position. The role requires regular availability during Israeli business hours and close collaboration with colleagues based in Israel. The successful candidate must maintain substantial working-hour overlap with the Israel time zone, including early-morning availability if based in the United States. Some flexibility may be required to support business needs across both U.S. and Israeli time zones.
