You will serve as the primary legal lead for commercial contracting with health systems and life sciences partners while managing regulatory compliance and legal operations. This role involves establishing internal legal processes, overseeing outside counsel, and ensuring consistent contractual protections across the company's portfolio.

Every deal Qualified Health signs sits at the intersection of health systems, pharmaceutical sponsors, patients, and evolving regulation, and the legal judgment behind those deals shapes what the company can build next. As Qualified Health's first full-time in-house Commercial Counsel, you will own the day-to-day legal work across our book of business. You will lead commercial contracting with health systems and life sciences partners, advise on value-based arrangements, and manage the regulatory and compliance questions that come with building AI for healthcare.
Qualified Health will separately retain an outside firm for corporate governance, financings, equity matters, M&A, employment, immigration, and other specialist legal needs.
Health system deals close on the timelines the Commercial team commits to, with legal work moving in step with the business rather than gating it
Life sciences engagements clear Anti-Kickback and fair market value screening prior to signature
Compliance obligations across every signed contract stay tracked and current, from data-use restrictions to reporting requirements to Anti-Kickback commitments
Recurring regulatory and product-classification questions are resolved once and applied consistently, so each new engagement builds on established positions
IP, data, and liability terms remain consistent across every contract Qualified Health signs, so protections do not depend on who leads a given deal
Commercial Contracting
Serve as the legal counterpart to our Commercial team across every commercial deal Qualified Health signs with health systems and life sciences partners
Own the position Qualified Health takes on IP, data, and liability in every commercial agreement, and hold that position across counterparties
Lead legal review of value-based and outcomes-based commercial arrangements
Screen life sciences engagements for Anti-Kickback Statute and fair market value exposure before signature, and coordinate specialist judgment with our external firms when a question requires it
Maintain oversight of Qualified Health's contractual obligations across all signed agreements, ensuring commitments in one agreement remain tracked as the portfolio grows
Compliance & Legal Operations
Coordinate with outside counsel on commercial, regulatory, and compliance matters that require specialist support, including how work gets scoped and what stays in-house
Coordinate with outside regulatory counsel on questions that require specialist judgment, including device and software as a medical device (SaMD) classification, and hold Qualified Health's institutional position on the questions that recur across engagements
Set the standard for outside counsel work across scope, timeline, and cost, and hold firms accountable when the work delivered does not meet it
Establish the process for how commercial legal work moves through Qualified Health, from intake through review to signature, including templates, standard positions on recurring terms, and clear thresholds for where deals require legal sign-off versus where the Commercial team can proceed on established language
JD and active bar membership
7+ years of experience in a healthcare or life sciences legal role, including meaningful in-house experience at a company of similar stage
Experience negotiating enterprise contracts, including IP ownership, data use, and liability terms, with health systems, pharmaceutical companies, or comparable regulated counterparties
Experience navigating Anti-Kickback Statute, fair market value, and data governance questions in a healthcare or life sciences context, including tracking compliance obligations across a portfolio of contracts
Experience coordinating multiple outside counsel relationships
Experience building legal infrastructure from scratch in a fast-moving startup
Experience spanning both health system and life sciences contracting
Experience with value-based or outcomes-based commercial models
Experience at a law firm serving healthcare or life sciences clients, with direct insight into the appropriate cost and timeline of outside counsel work
The pay range for this role is between $225,000 and $275,000. Compensation will be determined based on level within this job category, as well as your skills, qualifications, experience, and location. This role is also eligible for equity and benefits.
