We are seeking a strategic and hands-on Corporate Counsel to lead and coordinate our legal affairs across a multi-state, multi-site organization. This leader will act as a trusted partner to executive and operational leadership to ensure compliance, create structures and advance the objectives of the company. What You’ll Do
Legal Compliance: Stay current with federal and state healthcare regulations, ensuring the company's operations comply with all relevant laws and standards.
Contract Drafting and Review: Draft, review, and negotiate a wide range of contracts, including vendor agreements, licensing agreements, and other legal documents related to the health tech industry.
Equity: Support and advise on equity compensation aspects of M&A transactions and for new hires and terminations.
Corporate Governance: Assist in maintaining the company's corporate records, governance documents, and related matters.
Risk Management: Identify legal risks and provide advice on risk mitigation strategies to protect the company's interests.
Mergers and Acquisitions: Collaborate with the legal team on due diligence processes and contractual aspects of mergers, acquisitions, and other strategic transactions.
Litigation Support: Manage and work closely with external counsel on litigation matters, if necessary.
Employee Training: Develop and deliver training programs to employees to ensure they understand and adhere to relevant legal and compliance requirements.
Legal Research: Keep updated on legal developments in the health tech industry and provide recommendations on how to adapt to changing regulations.
Data Privacy: Assist in ensuring the company's data privacy and security practices are in compliance with all relevant laws and regulations.
What You Bring
Leadership
Demonstrated experience with developing rapid growth companies
Excellent communication, leadership, and problem-solving skills
High level of integrity and discretion
Ability to interface effectively with investors, board members and senior client leadership
Functional Expertise
Juris Doctor (J.D.) degree and admission to the bar in California
A minimum of three years of legal experience
Excellent drafting, negotiation, and communication skills
Strong problem-solving skills and attention to detail
Flexibility
Experience operating within a fast-growth, rapidly scaling organization
Comfortable with ambiguity and rapid cycle tests of change
Teamwork
Excellent working relationships with Clinical, Operations, Finance, HR, Investors and Leadership
Initiative / Creativity
Self-starter with a passion for our mission and the ability to identify issues, opportunities and solutions
Ability to work independently and collaboratively in a fast-paced, dynamic environment.
Strong desire to work with founders and close collaborative leadership team in private family orientated company environment
Preferred Qualifications
Knowledge of data privacy and intellectual property laws is preferred.
Background supporting healthcare organizations is preferred
Salary Range: $180,000-$220,000 per year plus equity participation
