Corporate Counsel

Position Overview
As Corporate Counsel at Modigent, you will provide high-impact in-house legal support across our national platform of HVAC, plumbing, and mechanical services companies. Reporting directly to the Chief Legal Officer, you will focus on contract drafting and negotiation, construction claims resolution, and practical day-to-day legal advisory services. You will serve as a trusted business partner to executive leadership and operating company teams, supporting acquisitions and integrations while delivering actionable guidance that enables business growth and operational excellence.
 
Duties and Responsibilities
  • Draft, review, redline, and negotiate prime contracts, master service agreements, subcontracts, professional services agreements, vendor/supplier contracts, and purchase order terms and conditions using AIA, ConsensusDocs, and custom forms.
  • Advise on contract interpretation, risk allocation, indemnity, insurance requirements, and dispute resolution provisions across various project delivery methods.
  • Support the development and maintenance of standard contract templates and playbooks tailored to Modigent’s operations.
  • Manage and resolve construction claims and disputes, including notices to cure, delay claims, liens, bonds, and related matters. Collaborate with operations, insurance carriers, sureties, and outside counsel.
  • Provide practical legal guidance to executive leadership, operating company teams, and project personnel on commercial agreements and operational matters.
  • Review and negotiate other commercial contracts, including office leases, SaaS agreements, and recruiting-related documents.
  • Support corporate transactions, including acquisitions, integration of new operating companies, joint ventures, and teaming agreements.
  • Assist with corporate governance matters such as licensing and Secretary of State filings as needed.
  • Help develop and deliver training to leadership and operational teams on contract-related topics.
Supervisory Responsibilities
None (individual contributor role); may provide guidance and mentorship to junior legal staff or paralegals as the team grows.
 
Requirements/Qualifications
  • Education: Juris Doctor (JD) from an accredited law school required.
  • Licensure: Candidates must be licensed in either Florida, Texas, or Arizona (and willing to become licensed in additional states, if needed). Active bar membership in good standing required.
  • Location: This position is remote, but candidate must be based in one of the following markets: Tampa or Orlando, Florida; Dallas or Fort Worth, Texas; or Phoenix, Arizona.
  • Experience: 5–7 years of relevant legal experience. Prior in-house experience at a construction company is strongly preferred (general contractor with multiple subsidiaries across states is ideal; large MEP/specialty trade contractor with multi-state operations is also highly valued). Demonstrated expertise drafting and negotiating complex construction contracts is essential.
  • Physical Demands: Primarily home office-based with occasional travel to operating company locations.

  • Deep expertise in construction contract drafting, negotiation, and claims resolution.
  • Excellent negotiation, analytical, and written/verbal communication skills.
  • Sound business judgment and ability to deliver practical, solution-oriented legal advice.
  • High ethical standards and strong interpersonal skills to build trusted relationships across the organization.
  • Proficiency with Microsoft Office, AIA software, AI contract review tools, and other legal technology platforms.
