Position: COMMERCIAL PROPERTY & TRANSACTIONS PARALEGAL
Salary range: Php 55,000/month (The final amount will be at the the client discretion basing on the candidate’s skills and experience.)

About the Company & Role
Our client is an established Australian commercial law practice supporting businesses, property owners, investors, buyers, and sellers across a range of commercial legal matters. The firm’s work primarily involves commercial property transactions, business sales and acquisitions, leasing, and related corporate matters. They are looking for a highly organised Commercial Property & Transactions Paralegal to provide remote legal and transactional support to the supervising solicitor. In this role, you will assist with preparing and managing legal documents, coordinating due diligence, tracking transaction requirements, and supporting matters through to settlement and completion. This is an excellent opportunity for a Philippine-based legal professional with transactional experience to work closely with an Australian legal team and gain continued exposure to commercial property and business transactions.
Key Responsibilities
Commercial Property Transactions
- Assist with preparing contracts for commercial property sales and purchases based on established precedents and solicitor instructions.
- Prepare and organise property searches, title-related documents, transaction correspondence, and settlement documentation.
- Assist with preparing special conditions, settlement directions, transfer-related documentation, and completion materials.
- Track key transaction deadlines, including finance, due diligence, title, access, and settlement dates.
- Assist with reviewing leases and tenancy documents relevant to commercial property transactions.
- Coordinate documents required for electronic settlement processes where applicable.
Business Sales & Acquisitions
- Prepare first drafts of business sale and purchase contracts using established precedents.
- Prepare disclosure documents, schedules, annexures, and supporting transaction documents.
- Review documents for accuracy, including party details, dates, purchase price, conditions, assets, exclusions, execution requirements, and annexures.
- Prepare ancillary documents such as deeds of assignment, novation deeds, landlord-consent documents, restraint deeds, releases, and settlement documents.
- Coordinate legal due diligence and organise financial information, leases, commercial contracts, licences, employee information, corporate records, and other supporting documents.
- Maintain due-diligence registers, outstanding-item lists, conditions-precedent trackers, and settlement checklists.
Matter Management & Legal Administration
- Open, organise, and maintain electronic legal matter files.
- Maintain document version control, task lists, key-date calendars, and correspondence records.
- Prepare file notes, transaction summaries, and status updates for the supervising solicitor.
- Draft professional correspondence to clients, accountants, agents, financiers, landlords, franchisors, and other legal professionals under instruction.
- Format, proofread, and finalise legal documents to a high professional standard.
- Assist with invoices, cost disclosures, trust-accounting instructions, and other administrative requirements.
- Help maintain and improve legal precedents, checklists, and transaction workflows.
Preferred Experience
- Experience supporting Australian lawyers or Australian legal practices.
- Background in commercial property, commercial conveyancing, business sales, acquisitions, or commercial leasing.
- Experience working within Australian, UK, New Zealand, or other common-law legal environments.
- Experience with legal due diligence and document review.
- Familiarity with cloud-based legal practice or document-management systems.
- Experience using Adobe Sign or similar e-signature platforms.
- Familiarity with PEXA, Australian property searches, or Australian conveyancing processes is advantageous but not required.

Requirements
Required Qualifications & Experience
- At least 2 years of experience as a Paralegal, Legal Assistant, Conveyancing Assistant, Legal Secretary, or similar transactional legal support role.
- Demonstrated experience supporting commercial property, conveyancing, commercial, corporate, leasing, or business-sale matters.
- Strong legal document preparation and document-management skills.
- Excellent written and spoken English.
- Experience preparing professional client and stakeholder correspondence.
- Strong Microsoft Word skills, including:
- Document formatting
- Styles
- Tracked changes
- Document comparison
- Tables
- Headers and footers
- PDF conversion
- Exceptional attention to detail when handling legal names, dates, monetary amounts, schedules, execution blocks, annexures, and transaction information.
- Strong organisational skills with the ability to manage multiple matters and deadlines.
- Ability to work independently in a remote environment while following detailed instructions.
- Proactive approach to identifying missing information, following up outstanding requirements, and escalating issues.
- Ability to maintain strict confidentiality when handling sensitive legal and client information.
