Business Unit: Global Legal Job Description: Role Summary The Senior Paralegal will work with the US legal team focused primarily on legal and regulatory support of the Russell Investments' mutual funds, including the oversight and management of the quarterly board process. This position works with trustees and officers of the funds, all levels of company staff and management, inside and outside legal counsel, and other fund service providers. This position has the option of being fully remote. The responsibilities of the individual in this position include: * Planning, preparation, execution and follow-up for fund board and committee meetings, with primary emphasis on: * Organization and completion of board and committee meetings, including primary responsibility for facilitating fund board and committee meeting logistics; coordination and oversight of requests from the boards; drafting notices, agendas, minutes, board materials and exhibits, written consents, secretary's certificates and other organizational and governance documents * Assisting in-house counsel at the board meetings * The overall organization, production and distribution of board books and other board materials and correspondence * Administering the electronic portal for board materials * Support of in-house counsel in other matters relating to the funds and the fund boards, including: * Drafting correspondence and communicating directly with trustees, executive management and others * Assisting supervising attorney with negotiation, execution and maintenance of various fund agreements * Tracking, preparing and/or assisting with any amendments to fund charter documents, agreements, plans or required statutory corporate or regulatory filings * Recordkeeping and file management for the funds and the fund boards. * Support for litigation or regulatory reviews, including responses to inquiries and document production requests from internal and external parties for matters affecting the funds. * Drafting, implementing and updating desktop procedures. * Other duties as assigned, including support for fund regulatory, disclosure and marketing reviews and compliance matters. * Assisting the members of the Legal Department on a wide variety of legal matters as may be required to facilitate the efficient and effective delivery of legal services. * Interacting and coordinating with various associates in the Legal Department, other business units, trustees, outside counsel and fund service providers to accomplish these tasks as well as developing and maintaining a strong and flexible working relationship with business units supporting the mutual funds and the fund boards. The successful candidate will have extensive demonstrable skills and experiences including the following: * Strong administrative, project management and organizational skills are critical, including attention to detail, ability to execute and achieve results, effective prioritization to meet multiple (and sometimes competing) deadlines, management of multiple complex projects independently and strong personal initiative. * Results oriented with an ability to manage multiple projects in a fast-paced, deadline driven environment and to deliver in a timely manner with the flexibility to adapt to changing circumstances. * Able to efficiently and effectively solve problems, including by designing, implementing and maintaining organizational solutions for large bodies of data, text and documentation. * Excellent written and verbal communication skills, including experience in drafting, reviewing, revising and proof-reading detailed documents, reports, and complex legal forms; and successfully interacting with executive-level individuals. * Strong comprehension, analytical and decision-making skills with sound judgment. * Strong interpersonal, collaborative and teamwork skills. * Minimum of 5-8 years of experience as a paralegal in a corporate legal department, law firm, or industry-related position or a proven track record with equivalent experience demonstrating proficiency in the skill sets described above. Recent and substantive experience in the area of registered mutual funds is preferred. * Subject matter expertise in basic securities, mutual fund, and corporate legal concepts, as well as proven ability to quickly learn and adapt to new industry regulations and legal processes. * Proficient in business desktop applications, including Microsoft Office applications and Outlook, with ability to learn new applications such Diligent. * Bachelor's degree * Paralegal certificate or equivalent training in research, critical thinking and communication is preferred (preferably in the financial services industry).
