Job Description

UST Legal Contracts Team is expanding!

If you are a team player and problem solver who likes managing, supporting, and leading complex commercial contract and vendor agreement reviews, drafting, and negotiating a wide variety of customer contracting matters - this opportunity is for you!

An attorney who is able to draft edit or summarize documents with a high degree of accuracy. Requires some but not close supervision on most matters. Receive medium-complex research assignments. May also provide direction to outside counsel on routine matters. Supervise paralegals and other attorneys. An attorney with nine to twelve years of experience who is able to draft edit or summarize documents with a high degree of accuracy. Requires some but not close supervision on most matters. May receive complex research assignments. May also provide direction to outside counsel on routine matters.

Outcomes:

  1. Responsible to draft edit and negotiate contracts with customers suppliers and others who desire to contract with the Company obtain feedback on draft agreements from stakeholders and provide consolidated comments to the relevant stakeholders including but not limited to agreements for participation in the Company's networks for health information messaging and connectivity data use agreements technology licensing agreements joint research projects and contracts with vendors supplying services or equipment to the Company.
  2. Provide and/or ensure accurate relevant and timely advice to different stakeholders and other members of staff on a variety of legal topics that relate to the business sector and their products or services.
  3. Work closely with and provide legal advice to teams within the Company responsible for the products/services requiring contracts or other documentation for delivery.
  4. Responsible for ensuring all relevant facts and legal considerations are assembled assessed and accurate before contracts are presented for execution as it relates to all business transactions.
  5. May oversee and/or evaluate and advise appropriate legal courses of action to meet Company and other stakeholders' needs as directed by the reporting attorney.
  6. Analyze complex legal issues conduct legal research work and draft summary reports.
  7. Oversee activities of project personnel to ensure the project progresses on schedule to and within prescribed budget.
  8. Manage a workload that is largely diverse and complex with minimal direct supervision or direction.
  9. Provide legal advice and manage responses to RFPs/RFIs as they come in.
  10. Develop and maintain an effective line of communication with other departments that we work closely with.
  11. Supervise attorneys paralegals and outside lawyers hired to assist the corporation with their specialized legal services
  12. Communicate with and managing any third-party bodies such as external counsel external procurement personnel or auditors.
  13. Liaising with senior members of staff.

Measures of Outcomes:

  1. Timeline / SLA Adherence
  2. Quality of work outputs
  3. Feedback from internal clients
  4. # of requests processed per month without escalations
  5. # of requests reassigned to outside counsel per month
  6. Manage 80% to 90% of client and vendor agreements in-house
  7. Manage matter budget to actual with a delta of (+/-) 10%
  8. Negotiate discounts that are at least 5% to 10% from the initial estimate

Manage the supervision of legal work of the legal/contract team:

  1. Ensuring that the work of the legal team meets all legal requirements
  2. Ensuring that the legal work of the legal team is accurate and of high-quality
  3. Providing advice guidance and mentoring to the legal/contract team to ensure they approach their work with professionalism and due care and in a manner that maintains the good reputation of the department
  4. Provide accurate relevant and timely advice to your employer and other members of staff on a variety of legal topics that relate to the business sector and their products or services

Skill Examples:

  1. Minimum experience of 9 to 12 years at a law firm or within a corporate law department and significant experience in contracts and transactions
  2. Must have supervisory experience
  3. Ability to concisely and effectively communicate complex matters in oral and written form
  4. Must have the ability to balance legal expertise with practical business judgment
  5. Ability to take ownership and think critically about assignments identify assign and prioritize workloads and manage multiple priorities tasks simultaneously and meet tight deadlines
