Position Summary

The Director and Managing Counsel has primary responsibility for leading a team of attorney and non-attorney personnel overseeing a wide variety of commercial transactions to which the company is a party, including client services agreements, vendor agreements, and other significant commercial transactions. The Director and Managing Counsel will ensure that the company's commercial transactions receive appropriate review by the Legal department and other departments as necessary (e.g., Finance, Compliance, Service Delivery, etc.), are compliant with company's policies and risk tolerances, and reflect the best practices of in-house commercial transactions legal teams.

The Director and Managing Counsel is also responsible for other legal services and advice as needed based on Rimini Street's diverse and evolving needs.

This position reports to the VP & Assistant General Counsel, NAMER Transactions.

Essential Duties and Responsibilities

Manage a team of transactional attorneys responsible for drafting, reviewing, and negotiating commercial contracts with clients and vendors.

Engage with subject matter experts, lawyers, compliance, and risk partners to effectively identify and mitigate risks in third-party relationships and advise on complex issues related to contracts.

Work closely with business partners in Sales, Marketing, IT, and Service Delivery to successfully close transactions in a manner consistent with company's policies and best interests.

Collaborate with business partners to define and implement process improvements and best practices to continually improve the effectiveness and efficiency of the transactions team.

Provide prompt and responsive counsel while handling multiple issues in a deadline-intensive environment.

Identify and escalate legal and business issues that arise in the contracting process.

Remain current on legal topics and identify relevant trends related to contracting.

Provide other legal services and advice to the company as needed.

Occasional domestic and international travel required

Qualifications/Skills/Experience:
Education

Bachelor's Degree and JD from an accredited law school

Location

Remote - US

Experience

Actively licensed to practice law in at least one US jurisdiction

8+ years of relevant experience as a commercial transactions attorney in private practice, in-house, or preferably a mix of both

Demonstrated competence and experience in complex commercial contracting and transactions practice management

Experience hiring, training, and managing an in-house attorney team

Fluency in English, both written and verbal

Preferred Experience

Experience in a technology company handling contracts, intellectual property, and professional technology issues

Ability to interface professionally and effectively with all levels of personnel internally and externally, up to and including senior executives and other key personnel
