About the Role:
As Commercial Counsel for Stack AV, you will be responsible for negotiating and closing a wide variety of highly complex time-sensitive commercial agreements to help drive our business forward. You will work on varied and exciting legal issues relating to self-driving trucks that require creative, pragmatic and proactive legal guidance, working hand-in-hand with our business, supply chain and procurement teams. The projects you take on will challenge you to think big and differently. The team is a tight-knit collaborative group that also highly encourages independence and autonomy. We are looking to add a smart and ambitious attorney to join us and take strong ownership of their work and make a strong impact within the company.
Responsibilities:
- Review, draft, and negotiate complex commercial agreements, including hardware and software transactions, supply chain, services, and joint development agreements.
- Provide strategic legal counsel to executive leadership on a broad range of issues, including business contracts, data privacy, intellectual property, corporate governance, tax, export controls, and employment law.
- Proactively identify and mitigate legal risks, working closely with leadership and internal teams to develop effective legal strategies.
- Ensure compliance with all applicable laws, regulations, export controls, and company policies.
- Draft, review, and approve key legal documents, including policies, procedures, regulations, and corporate governance materials.
- Support market expansion by advising on compliance requirements, risk mitigation, and the development of operational processes and workflows.
- Counsel technical and corporate leadership on matters related to intellectual property, data protection, security, and regulatory compliance.
- Being excited to develop and maintain an in-depth working knowledge of Stack’s business.
- Juris Doctor (JD) degree from an accredited law school with a license to practice law in any U.S. jurisdiction.
Qualifications:
- A minimum of 5-7 years of experience, ideally a combination of law firm and in-house or start-up experience.
- Experience working in the automotive/trucking industry or autonomous vehicles is highly desired.
- Strong negotiator who operates well in ambiguous and fast paced environments.
- Willingness to take on multiple roles, adapt to shifting priorities, and work on a variety of tasks as needed.
- Project management skills and a keen attention to detail, organization, and accuracy.
- Ability to prioritize and effectively manage a high volume of projects in a fast-paced environment.
- Strong collaboration skills, focusing on relationship building, feedback, and alignment with cross-functional teams.
- Excellent communication skills, with the ability to explain complex legal concepts clearly and concisely to a non-legal audience.
- Motivated to continuously learn, take on new challenges, and drive impact.
